( i <br /> ACCESS AGREEMENT <br /> This Access Agreement ("Access Anre col") is entered into on this ,& day of SO <br /> 2019 (the "Execution Date"), by and between EssigUSA, hut., a Delaware carporah <br /> (^bRE;X) and Ripen Unified school District (the "School Disney). <br /> RECITALS <br /> The following rectmis am hereby inempomted into this agreement and made a Part <br /> hereof: <br /> WHEREAS, the School District owns the red property located at 3M Noah Amcia <br /> Avenue in the City of Ripon, California (the "Police "g <br /> WHEREAS, NUSA seeks access to the Property to eoducl certain groundwater <br /> sampling and redatend activities at the Partway (the "Work') pursuant to the Work Pon an th("Wes�2 <br /> at was <br /> approved by the California Regional Water Quality Break, Correct Vall Re <br /> Boa ;) on 26 Juce 2019; and <br /> WHEREAS, in order to complete the Walk, it will be auesvey for NUSA aM its <br /> consultants and ceramics to conduct the fallowing activities (collectively, the "Acti=ties'ties') <br /> which would include, but are not limited m: site preparation (marking locutions and performing <br /> utility cleamnack conrpenctromerer lest (CPT) borings, groundwater sampling, borehole Ending <br /> and surface restmarion at each sampling location shown in Place a 1. It is estimated that the work <br /> can be completed within 10 m 15 working days. <br /> NOW, THEREFORE, the School District and NUSA agree as follows: <br /> I Licenim. The School District heavily grants to NUSA a non-mmlusive temporary <br /> licese, and not a grant ofresonant or any other interest N the Property, to enter and access the <br /> property, including ingress and egrns to perform the Activities on the Property. NUSA shall <br /> namnim ls to eRor conduct the Activities with minimum disturbnc ae illthe School <br /> District <br /> and upon completion of the Activities shall recent the property to der &beat Direct fir <br /> bstantially the same caMirmor that existed as when NUSA entered ilia Property. All Activities <br /> performed by NUSA, an the repair of any damages or the loss of Eradication to the Properly as a <br /> result of such Activities, shall be at the NUSA's expense. Within '/ days prior to entering of the <br /> Property, NUSA will provide calibration, which may be oral or by d erecti a mail, to the School <br /> District and obtain approval prior to implementation of any ArEvities. <br /> 2. Ter. This Access Agreement shall cautious and shall not be revocable for se <br /> long as NUSA is performing the Activities authmizsl by the Water Board (or activities related <br /> thereto). The parties agree that it would be inequitable to woke or terminate this Access <br /> Agreement before the Work is completed. <br /> 3. Compliance with laws. NUSA shall conduct the Activities N emnPliance with all <br /> applicable federal, gain, and local laws and regulations. <br />
