Once you sign this proposal, it shall serve as legally binding work order and contract. The undersigned shall be financially and legally responsible to pay the cost of service to FR, even though the order becomes cancelled afterwards, due to the incurred cost as a result of processing your order from the time the contract is signed and received by FR. FR reserves full right to cancel the project at any time during the process if payment is not made as agreed, or any contractual conditions are not met or violated by either party. Upon receipt of the signed proposal, FR will provide the client with a timeline of completion for the proposed project. FR appreciates the opportunity to provide this service. Wilson Cablk, PG Staff Geologist Senior INDEPENDENT CONTRACTOR STATUS In performing Services under this Agreement, FR shall operate as,and have the status of,an independent contractor. PROFESSIONAL RESPONSIBILITY Subject to any limitations established by the Client as to the degree of care and amount of time and expenses to be incurred and any other limitations contained in this Agreement, FR shall perform the Services consistent with that level of care and skill ordinarily exercised by other professional consultants under similar circumstances at the time the Services are performed. Services are based solely on the scope of work described in this agreement. Client hereby acknowledges that whenever a Project involves hazardous or toxic materials there are certain inherent risk factors involved (such as limitations on laboratory analytical methods,variations in subsurface conditions,economic loss to Client or property owner, a potential obligation for disclosure to regulatory agencies,a potential for a decrease in market value of real property,and the like)that may adversely affect the results of the Project, even though the Services are performed with such skill and care. No other representation,warranty, or guarantee,express or implied, is included or intended by this Agreement. CONFIDENTIALITY FR will not disclose to any third-party entity, the Agreement and results of the Services under this Agreement, unless specifically requested by the Client,or except where required by law or regulation. LIMITATION OF LIABILITY Client agrees that the liability of FR and all officers, employees, agents, and subcontractors of FR(the"FR Parties")to Client for all claims,demands,suits,losses,arbitration,or other causes of action arising from the performance of the Services under this Agreement, including, but not limited to, FR's professional negligence, errors and omissions, or other professional acts, shall be limited to FR's professional liability insurance coverage amount. FR Parties are not liable for any indirect, incidental or consequential damages, lost profits, lost revenue,or loss of property value based on the Services provided as part of this Agreement. 11
