TEMPORARY ACCESS AGREEMENT (2546 French Camp Turnpike, Stockton, CA 95206) (APN 165-261-260-000) THIS ACCESS AGREEMENT (this "Agreement"), dated solely for reference purposes as of July 20, 2021 is made by and between Mr. Lance Davidson, property owner ("Property Owner"), and Fulcrum Resources Environmental, Inc., a Corporation ("Contractor") RECITALS A. Pride Group Enterprises is currently negotiating for the purchase and sale of the real property generally described as 2546 French Camp Turnpike, Stockton, CA (the "Property"); and B. Pride Group Enterprises wishes to conduct environmental sampling at the Property (collectively, the "Environmental sampling"); and C. Pride Group Enterprises has hired the Contractor to conduct said environmental sampling; and D. Property Owner has agreed to allow Contractor to conduct environmental sampling, subject to Contractor entering into this Agreement and complying with the conditions set forth in this Agreement. AGREEMENT NOW, THEREFORE, in consideration of the covenants, promises and undertakings set forth herein, and for good and valuable consideration, receipt of which is hereby acknowledged, Property Owner and Contractor hereby agree as follows: Property Owner agrees to allow Contractor, or Contractor's employees, agents, sub-contractors, consultants or representatives, to access the Property for the limited purpose of conducting environmental sampling, subject to the following terms and conditions: 1. The environmental sampling shall only occur during business hours at reasonable times on reasonable advance notice (at least two (2) business days' prior written notice) to Property Owner's representative (whose contact information is set forth in Section 12 below), or to such other representative as Property Owner may designate from time to time. 2. Prior to conducting the Environmental sampling, Contractor shall submit for Property Owner's approval the certificates of insurance as required pursuant to Exhibit B attached hereto and neither Contractor nor its agents, contractors or representatives shall be permitted to conduct the Environmental sampling unless and until Property Owner approves such certificates. 3. Contractor may not conduct any intrusive inspections or borings without first providing the Property Owner with a copy of the proposed work plan Exhibit A for said inspections or borings. 4. Property Owner shall have the option to have an agent or employee accompany Contractor at all times during its investigation or Inspection of the Property. 5.
