agree to be solely responsible for all costs and expenses incurred in the maintenance of Wells for the duration of their use, and for the final disconnection/abandonment as required by the State, County and/or Local authority.The Property Owner shall have no obligation or responsibility for any such costs or expenses to maintain and/or disconnect/abandon the Wells. 2. Access. Property Owner hereby grants to the Responsible Parties and their employees, agents, representatives, consultants and contractors, a license over, under and across APN416503010 located at 1426 South Lincoln Street, Stockton, California for the purpose of performing monitoring activities on the Wells(MW-6,MW-8,and MW-9)located there. 3. Permits. The Responsible Parties, at no expense to the Property Owner, shall obtain any and all permits, which may be required for the continued existence of the Wells transferred under this Agreement according to Local, County, and State ordinances that pertain to the Wells. 4. Execution of Agreement. Each of the undersigned hereby represents and warrants that it is authorized to execute this Agreement on behalf of the respective parties to the Agreement and that this Agreement, when executed by those parties, shall become a valid and binding obligation, enforceable in accordance with its terms. The Property Owner further represents and warrants that it has full authority to transfer ownership of the Wells to the Responsible Parties. 5. Binding Effect. This Agreement shall be binding upon and shall inure to the benefit of the parties'respective representatives, successors, heirs, and assigns. 6. Notice of Transfer. Upon execution of this Agreement by all parties, the Property Owner shall provide written notice and appropriate documentation to the relevant government agencies and to the Responsible Parties indicating that the Property Owner has completed transfer of the Wells to the Responsible Parties and has completed all obligations as required by law. Confirmation by the government agency(ies) having jurisdiction over the Wells that the transfer has been completed shall be conclusive and binding on the Responsible Parties and the Responsible Parties' successors and assigns. 7. Liability. By accepting ownership of the Wells, the Responsible Parties do not admit or accept liability for any petroleum hydrocarbon or other contamination in the groundwater observed from the sampling of the Wells that is not attributable to the actions or operations of any of Responsible Parties. 8. Counterparts. This Agreement may be executed in counterparts, all of which together shall constitute one and the same agreement. 2
