agree to be solely responsible for all costs and expenses incurred in the maintenance of Wells for <br /> the duration of their use, and for the final disconnection/abandonment as required by the State, <br /> County and/or Local authority.The Property Owner shall have no obligation or responsibility for <br /> any such costs or expenses to maintain and/or disconnect/abandon the Wells. <br /> 2. Access. Property Owner hereby grants to the Responsible Parties and their <br /> employees, agents, representatives, consultants and contractors, a license over, under and across <br /> APN416503010 located at 1426 South Lincoln Street, Stockton, California for the purpose of <br /> performing monitoring activities on the Wells(MW-6,MW-8,and MW-9)located there. <br /> 3. Permits. The Responsible Parties, at no expense to the Property Owner, <br /> shall obtain any and all permits, which may be required for the continued existence of the Wells <br /> transferred under this Agreement according to Local, County, and State ordinances that pertain <br /> to the Wells. <br /> 4. Execution of Agreement. Each of the undersigned hereby represents and <br /> warrants that it is authorized to execute this Agreement on behalf of the respective parties to the <br /> Agreement and that this Agreement, when executed by those parties, shall become a valid and <br /> binding obligation, enforceable in accordance with its terms. The Property Owner further <br /> represents and warrants that it has full authority to transfer ownership of the Wells to the <br /> Responsible Parties. <br /> 5. Binding Effect. This Agreement shall be binding upon and shall inure to the <br /> benefit of the parties'respective representatives, successors, heirs, and assigns. <br /> 6. Notice of Transfer. Upon execution of this Agreement by all parties, the Property <br /> Owner shall provide written notice and appropriate documentation to the relevant government <br /> agencies and to the Responsible Parties indicating that the Property Owner has completed <br /> transfer of the Wells to the Responsible Parties and has completed all obligations as required by <br /> law. Confirmation by the government agency(ies) having jurisdiction over the Wells that the <br /> transfer has been completed shall be conclusive and binding on the Responsible Parties and the <br /> Responsible Parties' successors and assigns. <br /> 7. Liability. By accepting ownership of the Wells, the Responsible Parties do not <br /> admit or accept liability for any petroleum hydrocarbon or other contamination in the <br /> groundwater observed from the sampling of the Wells that is not attributable to the actions or <br /> operations of any of Responsible Parties. <br /> 8. Counterparts. This Agreement may be executed in counterparts, all of which <br /> together shall constitute one and the same agreement. <br /> 2 <br />
