5. This Agreement sets forth the entire agreement and understanding of the Parties with respect to the <br /> subject matter hereof. This Agreement may be amended only by written agreement of the Parties, <br /> hereto. This Agreement may be executed in any number of counterparts, and each such counterpart <br /> shall be deemed to be an original instrument, but all such counterparts together shall constitute one <br /> Agreement. This Agreement may be signed in any manner that clearly evidences the Parties' intent to be <br /> bound, including via faxed, imaged,electronic or digital signatures.
