Developer shall cause its design professionals to <br /> maintain professional liability insurance that insures against professional <br /> errors and omissions that may be made in performing services related to <br /> the Work to be rendered in connection with this Agreement, in the <br /> minimum amount of one million dollars ($1,000,000) per claim and in the <br /> aggregate. Any policy inception date, continuity date, or retroactive date <br /> must be before the effective date of this Agreement, and Developer <br /> agrees to cause its design professionals to maintain continuous coverage <br /> through a period no less than three years after completion of the services <br /> required pursuant to this Agreement. <br /> 6.4. Automobile Liability (with coverage at least as broad as ISO form 00 01 07 <br /> 97 for "any auto" including "hired autos" and "non-owned autos") coverage <br /> shall be maintained in an amount not less than $2,000,000 per accident <br /> for bodily injury and property damage. <br /> 6.4.1. If Developer has no employees, or does not own automobiles, then <br /> "hired autos" and "non-owned autos" coverage shall be maintained <br /> in an amount not less than $1,000,000 per accident for bodily injury <br /> and property damage. <br /> 6.5. Workers' Compensation coverage shall be maintained as required by the <br /> State of California. <br /> 6.6. Endorsements. Developer shall obtain endorsements to the commercial <br /> general liability and automobile policies with the following provisions: <br /> 6.6.1. The City (including its elected and appointed officials, officers, <br /> employees, agents, and volunteers) shall be named as an <br /> Additional Insured on Developer's Commercial General Liability <br /> policy utilizing endorsement form CG 20 10 (or its equivalent) for <br /> ongoing operations and CG 20 37 (or its equivalent) for <br /> products/completed operations. <br /> 6.6.2. For any claims related to this Agreement, Developer's coverage <br /> shall be primary insurance with respect to the City. Any insurance <br /> maintained by the City shall be excess of Developer's insurance <br /> and shall not contribute with it. <br /> 6.6.3. Developer shall require its contractors and subcontractors providing <br /> services required by this Agreement (e.g. general contractors, <br /> design professionals) to name it and the City as Additional <br /> Insureds. <br /> 6.7. Notice of Cancellation. Developer shall notify the City of any cancellation <br /> of either the commercial general liability policy or automobile insurance <br /> policy before the expiration date.
