CITY OF TRACY— OFFSITE IMPROVEMENT AGREEMENT <br /> OFF-SITE DETENTION BASIN 3A <br /> PUBLIC IMPROVEMENTS <br /> Page 10 of 14 <br /> Agreement shall be filed and heard in a court of competent jurisdiction in the <br /> County of San Joaquin. <br /> 21. Permits, Licenses, and Compliance with Law. Developer shall, at its expense, <br /> obtain and maintain all necessary permits and licenses for the performance of <br /> the Work. Prior to the commencement of the Work, Developer shall obtain a City <br /> of Tracy Business License. Developer shall comply with all local, state, and <br /> federal laws, whether or not said laws are expressly stated in this Agreement. <br /> 22. Entire Agreement; Exhibits; Severability. The recitals and all defined terms in <br /> this Agreement are part of this Agreement. This Agreement, including all <br /> documents incorporated by reference, comprises the entire integrated <br /> understanding between the parties concerning the improvements to be <br /> constructed pursuant to this Agreement. This Agreement supersedes all prior <br /> negotiations, representations, or agreements. The following Exhibits attached <br /> hereto are incorporated into this Agreement and made a part hereof by this <br /> reference: <br /> A. Description of Property (Recital A.) <br /> B. Conditions of Approval (Recital F) <br /> C. Subdivider's Authorized Representative Information (Section 12.) <br /> If a term of this Agreement is held invalid by a court of competent jurisdiction, the <br /> Agreement shall be construed as not containing that term, and the remainder of <br /> this Agreement shall remain in effect. <br /> 23. Signatures. The individuals executing this Agreement on behalf of Developer <br /> represent and warrant that they have the right, power, legal capacity, and <br /> authority to enter into and to execute this Agreement on behalf of Developer. <br /> This Agreement shall inure to the benefit of and be binding upon the parties <br /> hereto and their respective successors and assigns. <br />
