Linne Rd., Tracy, CA 95377 (please, <br />see attached copies of mentioned permits). <br />Dear Mr. Shih, <br />As part of an internal reorganization, the Ameron Water Transmission Group, <br />whose business includes the manufacturing of highly -engineered concrete and steel <br />pipe systems as well as PVC liners for a wide range of applications ("Ameron WTG"), <br />will be converted into a Delaware limited liability company to be named Ameron Water <br />Transmission Group, LLC (the "LLC"), a wholly owned subsidiary of Ameron <br />International Corporation (the "LLC Conversion"). <br />Currently, Ameron WTG operates under the Permit, but to complete our internal <br />reorganization, we would like for the Permit to be re -issued in the name of the LLC. <br />This internal reorganization is being conducted for tax purposes only, and all <br />liabilities of Ameron WTG will continue to be fully performed by the LLC and <br />backstopped by the same assets. None of the operations of Ameron WTG will change <br />by virtue of the LLC Conversion. This conversion will more closely reflect a simple name <br />change than any material change between the business of Ameron WTG today and <br />what will comprise the business of the LLC after the LLC Conversion. <br />In light of the foregoing, we ask that the San Joaquin County Environmental <br />Health Department issue new permits in the name of, "Ameron Water Transmission <br />Group, LLC" that entitles the LLC to the same rights and subject to the same <br />restrictions as currently applicable to Ameron International under the Permit, including <br />all "grandfathered" rights under the Permit. <br />A National Oilwell Varco Company <br />
