address the unreasonable interference with Owners' planned development. Owners and <br /> BP shall take all reasonable steps to cooperate during any development activities so as to <br /> minimize any interference with Owners' development. <br /> 3. BP agrees to indemnify, defend and hold the Owners, and their respective <br /> trustees, administrators, heirs, beneficia ies, successors and assigns, and the Property <br /> harmless from any liabilities, claims, damages, losses, costs, mechanic's liens (including <br /> reasonable attorneys fees and expenses) or suits for personal injury or property damage <br /> caused by any activities conducted on the Property by BP or any of the BP Parties <br /> pursuant to this Agreement. <br /> 4. Prior to any entry on to the Property by any of BP's contractors or agents, 13P <br /> shall deliver to Owners an endorsement to a commercial general liability insurance policy <br /> which evidences that such contractor(s) or agent(s) of BP is carrying a commercial <br /> general liability insurance policy with an insurance company reasonably acceptable to <br /> Owners, covering the activities of such BP contractor(s) or agent(s) on. or upon. the <br /> Property. Such endorsement shall evidence that such insurance policy shall have a. per <br /> occurrence limit of at least One Million and No/100ths Dollars ($1,000,000.00) and. an <br /> aggregate limit of at least Three Million and No/100ths Dollars ($3,000,000.00), shall <br /> name Owners as an additional insured, and shall be primary and non-contributing with <br /> any other insurance available to Owners. <br /> 5. BP shall conduct the Work in compliance with all applicable haws and. <br /> regulations. <br /> 6. This grant of permission, for a right of entry is not assignable except by written <br /> agreement of the parties, provided, however, that Owners may, upon prior written notice <br /> to BP, assign this Agreement to a subsequent transferee of. the Property. <br /> 7. BP shall give reasonable prior nonce of not less than two (2) business days, to <br /> Owners prior to entering the Property to commence the Work. BP will endeavor to <br /> perform all work pursuant to this Agreement during regular working hours. Owners shall <br /> have the right to have a representative present, if they so choose, to observe any activities <br /> conducted by BP under. the Agreement. BP will periodically, but not less than semi- <br /> annually, inform Owner in writing of U's investigation and remedi.arion plans. <br /> 8. At the conclusion of the Work, BP shall restore the Property to substantially the <br /> same condition which existed prior to the Work, at BP's sole cost and.expense. <br /> 9. BP shall. take all. reasonable steps to minimize any interference with the day-to- <br /> day business activities of the Owners or any occupants during any aspect of the Work. <br /> 1.0.
