address the unreasonable interference with Owners' planned development. Owners and BP shall take all reasonable steps to cooperate during any development activities so as to minimize any interference with Owners' development. 3. BP agrees to indemnify, defend and hold the Owners, and their respective trustees, administrators, heirs, beneficia ies, successors and assigns, and the Property harmless from any liabilities, claims, damages, losses, costs, mechanic's liens (including reasonable attorneys fees and expenses) or suits for personal injury or property damage caused by any activities conducted on the Property by BP or any of the BP Parties pursuant to this Agreement. 4. Prior to any entry on to the Property by any of BP's contractors or agents, 13P shall deliver to Owners an endorsement to a commercial general liability insurance policy which evidences that such contractor(s) or agent(s) of BP is carrying a commercial general liability insurance policy with an insurance company reasonably acceptable to Owners, covering the activities of such BP contractor(s) or agent(s) on. or upon. the Property. Such endorsement shall evidence that such insurance policy shall have a. per occurrence limit of at least One Million and No/100ths Dollars ($1,000,000.00) and. an aggregate limit of at least Three Million and No/100ths Dollars ($3,000,000.00), shall name Owners as an additional insured, and shall be primary and non-contributing with any other insurance available to Owners. 5. BP shall conduct the Work in compliance with all applicable haws and. regulations. 6. This grant of permission, for a right of entry is not assignable except by written agreement of the parties, provided, however, that Owners may, upon prior written notice to BP, assign this Agreement to a subsequent transferee of. the Property. 7. BP shall give reasonable prior nonce of not less than two (2) business days, to Owners prior to entering the Property to commence the Work. BP will endeavor to perform all work pursuant to this Agreement during regular working hours. Owners shall have the right to have a representative present, if they so choose, to observe any activities conducted by BP under. the Agreement. BP will periodically, but not less than semi- annually, inform Owner in writing of U's investigation and remedi.arion plans. 8. At the conclusion of the Work, BP shall restore the Property to substantially the same condition which existed prior to the Work, at BP's sole cost and.expense. 9. BP shall. take all. reasonable steps to minimize any interference with the day-to- day business activities of the Owners or any occupants during any aspect of the Work. 1.0.
