" 10;29 P. 02 <br /> '9G 17 : 19 FROM ZF LAW DEPT. TO 912, 980314 PAGE . 003 <br /> The Atchison, Topeka and Santa Fe Railway Company <br /> ("ATSF") and Claude C. Wood Company, General Contractors ("Wood") <br /> enter into this Contract under the terms and conditions set forth <br /> below. <br /> WHEREAS, ATSF desires the removal and cleanup of all <br /> debris from the bridge 1134.8 renewal project between old River and <br /> Middle River at its station of Orwood, California. <br /> WHEREAS, Wood has the ability to perform such removal and <br /> cleanup in accordance with applicable laws, ordinances and <br /> regulations. <br /> WHEREAS, ATSF and Wood are partial to a contract dated <br /> Sanuary 1, 1989, filed in ATs?ls records as Sacretary'e Contract <br /> No. 178la6. <br /> In consideration of the mutual promises and conditions sot forth <br /> below the parties agree as follows: <br /> 1. Scope of Work. <br /> Wood shall remove and dispose of all debris from the <br /> bridge 1134.8 renewal project between old River and Middle River at <br /> ATSF's Station of Orwood. Such removal shall be accomplished by <br /> Wood loading such debris onto barges, moving such barges to dry <br /> land where the debris shall be removed from the barges and placed <br /> onto trucks for transport to and disposal at an appropriate <br /> disposal facility. Care shall be taken to minimize, to the fullest <br /> extent possible, any disturbance to the plant or animal life <br /> surrounding bridge 1134.8. <br /> 2. Compensation. <br /> Compenzation for the work covered by this Contract shall <br /> be in the amount of $291, 798.00, which amount includes $86,000.00 <br /> for fees associated with the disposal of the debris. <br /> 3. Time of Couplation. <br /> All work encompassed by this Contract shall be completed <br /> within 10 Working Days of November _, 1992. <br /> 4. Compliance with Law. <br /> in the performance of the work provided for herein, Wood <br /> and all subcontractors shall comply with all federal, state and <br /> local governmental statutes, ordinances, orders and regulations. <br /> In addition to the indemnities provided for in ATSF <br /> Secretary's Number 178196, Wood shall indemnity, save harmless and <br /> assume the cost of defense of ATSF from and against all alaims, <br />
