("Ouik Stop" or the "Corporation") that may impact the current licenses in place with the above <br /> referenced jurisdiction. These changes are outlined below and will become effective April 13, 2018. <br /> Current Ownership <br /> Quik Stop Markets Inc. is a corporation formed on July 8, 1965 under the laws of the State of California. <br /> Currently, Dillon Companies, Inc., a Kansas Corporation ("Dillon"), owns 100% of Quik Stop. Dillon is <br /> subsidiary of The Kroger Company, incorporated in the State of Ohio. Quik Stop's Federal Employer <br /> Identification Number("FEIN")is 94-1610162. <br /> Contemplated Transaction <br /> Kroger has agreed to sell Quik Stop to EG Group, Ltd. ("EG Group") a privately-held petrol forecourt <br /> convenience store retailer based in Blackburn, Lancashire, United Kingdom. Post transaction, EG Group will <br /> own Quik Stop through two US subsidiaries - EG Retail (America), LLC which will be wholly owned by EG <br /> America LLC, both of which are Limited Liability Companies registered in Delaware. EG Retail(America), LLC <br /> will own 100% of Quik Stop as of April 13, 2018. As part of the agreement, EG Group will establish their <br /> North American headquarters in Cincinnati, Ohio and continue to operate stores under their established <br /> banner names. <br /> A diagram of the pre-purchase and post-purchase corporate structures of Quik Stop are included in <br /> Attachment A. <br /> It is our intention that this letter serves as the proper notification for the transaction outlined above that will result in changes <br /> to the information on the existing licenses of Quik Stop, Inc. While Quik Stop is undergoing an ownership change as a result <br /> of the transaction, the Corporation will retain its FEIN as identified on the current business licenses and related periodic <br /> filings. Pursuant to the transaction outlined above, we respectfully request that the current, active licenses and accounts <br /> for Quik Stop included in Exhibit B be updated effective April 13, 2018. <br /> If you have any questions, please contact me at 713-750-5100 or via email at KrogerEGLicensing@ey.com.
