other property then remaining on the Property. Unless otherwise directed by Wells Fargo, Unocal shall close all work, including without limitation -all groundwater wells as appropriate, 'which Unocal, its agents, consultants and contractors have performed or installed, to industry standards in compliance with applicable .federal, state and local laws, rules and regulations governing such closure, and as lawfully required by proper governmental agencies. Unocal shall dispose of any contaminated substances resulting from the Work as provided herein, restore the Property to its -condition existing immediately prior to Unocal's access, and vacate the Property, subject to any additional obligations of Unocal hereunder. To the extent that any continued well monitoring may be required by any governmental agency having jurisdiction, Unocal shall maintain such wells and shall properly M� close and/or upon Wells Fargo's request relocate any monitoring wells that may need to be closed or relocated. 10 Default. If Unocal fails to perform its obligations hereunder to perform the Work- and the Corrective Work, Wells Fargo may (but' shallnot be obligated to)' complete the same, and Unocal shall, in addition to all other, rights and remedies of Wells Fargo hereunder at law .and in equity, ' on demand pay Wells Fargo or any other party all costs incurred in connection . therewith. 11 Assignment. Wells Fargo may assign its rights under this Agreement to any person or entity than has either a present or prospective-interest in the Property, and shall -notify Unocal promptly of any such assignment; provided, however, Unocal shall not be made subject to or be deemed tobe subject to any representations, covenants or warranties made by Wells Fargo with respect to the Property without Unocal's prior written consent. Unocal shall have the right to assign its rights but not its obligations under this Agreement. 22 Third Party Benefit. Except as specifically provided herein, no person or entity other thanthe parties to this Agreement has or shall acquire any rights hereunder. 13 Entire Agreement. This Agreement contains the entire agreement between the parties respecting the subject matter of this Agreement and supersedes all prior and contemporaneous understandings and agreements, whetherl oral or' in writing,between the parties respecting the subject mat er of this Agreement. 14 Choice of Law.
