Tesoro <br /> Refining and Marketing Company will operate the locations in California and <br /> Washington under their wholly owned subsidiary, Tesoro West Coast Company, LLC <br /> ("Tesoro"). As part of this change of ownership, USAP desires to transfer all licenses <br /> and permits to the locations listed on the attached Exhibit A to Tesoro. The effective date <br /> of the transfer will be May 1, 2007. <br /> USAP hereby authorizes and -consents to Tesoro transferring USAP's various <br /> licenses and permits at the gasoline stations and truck stops from USAP's name to <br /> Tesoro's name and address effective May 1, 2007. <br /> Please call me at (805) 2149200 if you have any questions, or if there is <br /> anything we can do to assist in the transfer of licenses and pennits. <br /> Thank you in advance for your cooperation. <br /> Kind R ards, <br /> John Zisk <br />
