y Activities are completed to the satisfaction of Shell and/or any applicable governmental agencies. 2. Owner agrees not to prohibit, interfere with or obstruct such entry or Activities upon the Property, and not to cause or permit same to be done by others. 3. Owner covenants that the license to enter hereby granted to Shell is binding upon both itself and anyone claiming ownership, title, leasehold or any other occupancy rights to the Property by, through or under Owner, including present/future tenants or other occupants, and that Owner, will make any grant of such rights subject to Shell's license to enter. 4. Shell agrees that such entry upon the Property shall be limited to the extent necessary for the performance of the Activities undertaken by Shell for the purposes expressed herein. 5. Upon completion of each of the Activities upon the Property, Shell will cause any tools, equipment, or material placed thereon for the purpose of that Activity to be removed and will exercise due diligent efforts to restore the said Property to its former condition as is reasonably and practically possible, less ordinary wear and tear. 6. This agreement is intended and shall be construed only as a license to enter and conduct the Activities upon the Property and not as a grant of easement or any other interest in the Property. 7. This agreement shall be binding upon the parties herein and their respective successors, representatives, heirs and assigns. 8. Shell, to the maximum extent permitted by law, shall defend, indemnify and hold harmless Owner against all third party claims, suits, liabilities, judgements, losses and expenses arising out of any personal injuries, or damages to or losses of Owner's property, caused by or happening in connection with any Activities conducted by Shell on the Property, excepting any such injury, damage or loss caused by the sole or concurrent negligence of fault of Owner or any third party. IN WITNESS HEREOF, Shell and Owner have executed two (2) original copies of the Agreement on the dates specified immediately adjacent to their respective signatures.
