y <br /> Activities are completed to the satisfaction of Shell and/or any applicable governmental <br /> agencies. <br /> 2. Owner agrees not to prohibit, interfere with or obstruct such entry or Activities upon <br /> the Property, and not to cause or permit same to be done by others. <br /> 3. Owner covenants that the license to enter hereby granted to Shell is binding upon <br /> both itself and anyone claiming ownership, title, leasehold or any other occupancy rights to <br /> the Property by, through or under Owner, including present/future tenants or other <br /> occupants, and that Owner, will make any grant of such rights subject to Shell's license to <br /> enter. <br /> 4. Shell agrees that such entry upon the Property shall be limited to the extent necessary <br /> for the performance of the Activities undertaken by Shell for the purposes expressed herein. <br /> 5. Upon completion of each of the Activities upon the Property, Shell will cause any <br /> tools, equipment, or material placed thereon for the purpose of that Activity to be removed <br /> and will exercise due diligent efforts to restore the said Property to its former condition as is <br /> reasonably and practically possible, less ordinary wear and tear. <br /> 6. This agreement is intended and shall be construed only as a license to enter and <br /> conduct the Activities upon the Property and not as a grant of easement or any other interest <br /> in the Property. <br /> 7. This agreement shall be binding upon the parties herein and their respective <br /> successors, representatives, heirs and assigns. <br /> 8. Shell, to the maximum extent permitted by law, shall defend, indemnify and hold <br /> harmless Owner against all third party claims, suits, liabilities, judgements, losses and <br /> expenses arising out of any personal injuries, or damages to or losses of Owner's property, <br /> caused by or happening in connection with any Activities conducted by Shell on the <br /> Property, excepting any such injury, damage or loss caused by the sole or concurrent <br /> negligence of fault of Owner or any third party. <br /> IN WITNESS HEREOF, Shell and Owner have executed two (2) original copies of the <br /> Agreement on the dates specified immediately adjacent to their respective signatures. <br /> EXECUTED ON 199_ OWNER <br /> By: <br /> EXECUTED ON 199_ SHELL OIL COMPANY <br /> By: <br /> Its: <br />
