SUPPAGR.DOC 980220 <br /> Form Approved, AVP-Law <br /> Audit: 304575 <br /> Polder: 03286-26 <br /> SUPPLEMENTAL AGREEMENT <br /> THIS SUPPLEMENTAL AGREEMENT is entered into on the thirty first (31st) day of May <br /> 2023, between UNION PACIFIC RAILROAD COMPANY ("Licensor") and CHEVRON <br /> ENVIRONMENTAL MANAGEMENT COMPANY, whose address is 6001 Bollinger Canyon Road, <br /> Park Building C/C 2040, San Ramon, CA 94583 ("Licensee"). <br /> RECITALS: <br /> By instrument dated December 15, 2021, Lessor and Lessee, or their predecessors in interest, <br /> entered into an agreement ("Basic Agreement"), identified as Audit No. 304575 at or near Tracy, <br /> California. The Basic Agreement terminated per terms of the agreement on April 30, 2022. <br /> AGREEMENT: <br /> IT IS AGREED between Lessor and Lessee to modify the Basic Agreement as follows: <br /> Article 1. EFFECTIVE DATE. <br /> This Supplemental Agreement is effective May 31, 2023. <br /> Article 2. RIGHT GRANTED, PURPOSE. <br /> A. Whereas the Licensee now proposes to locate and destroy two (2) soil vapor probes, B-8 <br /> and B-9, as indicated on Exhibit A-2 of this supplemental agreement. <br /> B. The grant of right herein made to Licensee shall commence on the date of this <br /> Supplemental Agreement, and continue until September 30,2023 unless sooner <br /> terminated as herein provided, or at such time as Licensee has completed its work on <br /> Railroad's property, whichever is earlier. Licensee agrees to notify the Railroad <br /> Representative in writing when it has completed its work on Railroad property and <br /> provide documentation that the soil vapor probes have been destroyed on Lessor's <br /> property including correspondence from Central Valley Regional Water Quality <br /> Control Board. <br /> C. This Supplemental Agreement may be terminated by either party on ten (10) days written <br /> notice to the other party. <br />
