EMC's Affiliate,Tidewater Oil Company, its predecessor entities,or its dealer,operated a facility <br /> near the Surland Homes residential development,commonly referred to as the Former Tidewater <br /> Associated Oil Company/Old Valley Pipeline Right of Way(TAOC/OVP). <br /> C- IBC seeks Grantors authorization to access the Property to conduct the Work and motor is <br /> willing to grant EMC access to the Property to conduct the Work, all pursuant to the terms of this <br /> Agreement. <br /> TERMS AND COIWDMONS <br /> 1. DEFINITIONS,INTERPRETATION,AND EXHIBITS <br /> 1.1 Definitions.In this Agreement,these capitalized words or expressions have the following <br /> meanings: <br /> "Affitia� means any legal entity that controls, is controlled by, or is under common <br /> control with, another legal entity. An entity is deemed to "control" another if it owns <br /> directly or indirectly at least 50%of the shares or interests entitled to vote. <br /> "Agency'means the California Regional Water Quality Control Board-Central Valley <br /> Region or other agencies hawing jurisdiction over environmental matters at <br /> the Property. <br /> "Agreement" has the meaning set out in the introductory paragraph and includes all <br /> exhibits listed in Section 12(D)(Interpretation and Exhr-bits)- <br /> "EMC-has the meaning set out in the introductWy paragraph. <br /> "EMC Group" means EMC, its Affiliates, its joint interest owners, contractors, and <br /> suppliers of any tier,and the shareholders,directors,officers,and employees of all of them. <br /> "Effective Date means the latest dale on the sib page when all Parties have signed <br /> this Agreement. <br /> "Grantor"has the meaning set out in the introductory paragraph. <br /> "Parr means EMC or Grantor and-Parties"means both of them. <br /> "Property"meani the property located at 2502 Dorset Lane, in the City of Tracy,County <br /> of San Joaquin,State of California,APN 238-300-080-000,as depicted on Exhibit A-Tax <br /> Map- <br /> Old Valley Pipeline Right of Way,Tracy,CA <br /> FCC ES Law Site Access Agreement Outdoor U.S.(Rev7 July 2018) 1 <br />
