All such notices will become an <br /> amendment to this agreement unless Client objects in writing within 5 business days after receipt.Ali services performed by Consultant on the <br /> project are subject to the terms and kmitations of this agreement. <br /> 12 Client expressly waives any claim against Consuttmt resulting from Consultant's failure to perform additional services that Client has not <br /> authorized Consultant to perform,and any claim that Consultant failed to perform services that Client instructs Consultant not to perform. <br /> 1.3 Consultant's proposal specifically excludes any services related to and or other biological agents. <br /> Section 2 Client's Responsibilities <br /> 2.1 Client will assist and cooperate with Consultant in any manner necessary and within its ability to facilitate Consultant's performance under this <br /> agreement. <br /> 22 Client will supply Consultant with any information,documents,or knowledge in Client's possession that are relevant to Consultant's services. <br /> Client warrants the accuracy of any information supplied by it to Consultant,and acknowledges that Consultant is entitled to rely upon such <br /> information without verifying its accuracy.Prior to the commencement of any Services in connection with a specific property,Client will notify <br /> Consultant of any known potential or possible health or safety hazard existing on or near the Project Site,with particular reference to Hazardous <br /> Materials or conditions. <br /> 2.3 Client is responsible for executing all manifests or other documents evidencing ownership,possession or control over Hazardous Materials. <br /> Client shall provide all required notifications to applicable Governmental Agencies,regulatory bodies or the public related to the existence, <br /> discharge.release,disposal,and/or transportation of Hazardous Materials. <br /> Section 3:Right of Entry <br /> 3.4 The Client will provide for right of entry of the Consultant and all equipment necessary in order to complete the work. <br /> 3.5 While the Consultant will take reasonable precautions to minimae damage to the property,it is understood by the Client that in the normal <br /> course of work some damage may occur,the correction of which is rot part of this agreement. <br /> Section 4:Utilities <br /> 4.1 In the prosecution of his work the Consultant will take all reasonable precautions to avoid damage or injury to subterranean structures or <br /> utilities. The owner agrees to hold the Consultant harmless for any damage to subterranean structures or utilities which are not called to the <br /> Consultant's attention and correctly shown on the plans furnished. <br /> Section 5:Samples <br /> 5.1 Soil samples will be examined in the field and will remain on-site inmost cases. Samples collected for laboratory analysis will be held by <br /> Consultant's laboratory for up to 30 days. Disposal of all hazardous materials is the responsibility of the owner. <br /> Section 6:Invoices <br /> 6.1 The Consultant will submit invoices to the Gient monthly and a final bill upon completion of services. <br /> 6.2 All check payments must be made out to Live Oak GeoEnvironmental,Inc. The address is 407 W.Oak Street,Lodi,CA 95240. <br /> 6.3 Payment is due upon presentation of the work product and invoice.Any prepayment and periodic Invoicing will be applied to the final invoice <br /> amount. <br /> Section 7:Ownership of Documents <br /> 7.1 All reports,boring logs,field notes,laboratory test data,calculations,estimates,and other documents prepared by the Consultant,as <br /> instruments of service,shall remain the property of the Consultant. <br /> 7.2 Client agrees that all reports and other work furnished to Client and Client's agents,which are not paid for,will be returned upon demand and <br /> will rot be used by the Client for any purpose whatever. <br /> 7.3 The Consultant will retain all records relating to the services performed for a period of five years following submission of the report. <br />
