A <br /> ORAF T <br /> E. Grantee desires to obtain an easement on the Property for <br /> the purpose of transmitting water from its well to the Project and, <br /> when necessary, to . alter, repair and maintain said water line. <br /> F . Grantor is willing to grant such an easement to Grantee <br /> for the purposes set forth herein. <br /> G. Grantor and Grantee desire to set forth, in writing, the <br /> terms and conditions of their Agreement . <br /> NOW, THEREFORE, IT IS HEREBY AGREED by and between the parties <br /> as follows : <br /> 1 . For good and valuable consideration, the receipt of which <br /> is acknowledged by this Agreement, Grantor hereby grants, bargains, <br /> sells and conveys to Grantee, its successors and assigns, a right- <br /> of-way and easement on the Property for the purpose of maintaining <br /> and operating a water line to be used for transporting water from <br /> the well owned by Grantee to the Project. <br /> 2 . The right-of-way and easement will be twenty (20) feet in <br /> width and shall be located on the real property of Grantor as more <br /> particularly described on Exhibit "2 and illustrated on Exhibit <br /> 11311, attached hereto. <br /> 3. Accompanying this right-of-way and easement is the further <br /> effectothGeauree to enter and depart over and oses of the easement granted by this his Agreement.n the property to <br /> effect purposes <br /> 4 . Grantee will repair all damage caused by Grantee arising <br /> from the alteration and maintenance of the water line, including <br /> the repair of any damage caused by Grantee to the Property. <br /> Grantee agrees to indemnify Grantor against any loss and damage <br /> that is caused by the exercise of Grantee ' s rights to enter and <br /> depart the Property for the purpose of laying, maintaining and <br /> operating the water line, or by any wrongful or negligent act or <br /> omission of Grantee or of Grantee' s agents or employees . <br /> Grantor will repair all. damage caused by Grantor to Grantee' s <br /> facilities consisting of the water line and well owned by Grantee. <br /> Grantor agrees to indemnify Grantee against any loss and damage <br /> that is caused by Grantor in connection therewith. <br /> 5 . Grantor will have the right to use the Property described <br /> in this Grant of Easement for purposes not inconsistent with <br /> Grantee' s full enjoyment of the rights granted herein, provided <br /> that Grantor will not erect or construct any building or other <br /> structure on the Property. <br /> to <br /> he benefit <br /> 6 . The provisions of eement will and assignsofthe trespective <br /> of and bind the heirs, successors <br /> parties to this Agreement. <br /> 2 <br />
