A ORAF T E. Grantee desires to obtain an easement on the Property for the purpose of transmitting water from its well to the Project and, when necessary, to . alter, repair and maintain said water line. F . Grantor is willing to grant such an easement to Grantee for the purposes set forth herein. G. Grantor and Grantee desire to set forth, in writing, the terms and conditions of their Agreement . NOW, THEREFORE, IT IS HEREBY AGREED by and between the parties as follows : 1 . For good and valuable consideration, the receipt of which is acknowledged by this Agreement, Grantor hereby grants, bargains, sells and conveys to Grantee, its successors and assigns, a right- of-way and easement on the Property for the purpose of maintaining and operating a water line to be used for transporting water from the well owned by Grantee to the Project. 2 . The right-of-way and easement will be twenty (20) feet in width and shall be located on the real property of Grantor as more particularly described on Exhibit "2 and illustrated on Exhibit 11311, attached hereto. 3. Accompanying this right-of-way and easement is the further effectothGeauree to enter and depart over and oses of the easement granted by this his Agreement.n the property to effect purposes 4 . Grantee will repair all damage caused by Grantee arising from the alteration and maintenance of the water line, including the repair of any damage caused by Grantee to the Property. Grantee agrees to indemnify Grantor against any loss and damage that is caused by the exercise of Grantee ' s rights to enter and depart the Property for the purpose of laying, maintaining and operating the water line, or by any wrongful or negligent act or omission of Grantee or of Grantee' s agents or employees . Grantor will repair all. damage caused by Grantor to Grantee' s facilities consisting of the water line and well owned by Grantee. Grantor agrees to indemnify Grantee against any loss and damage that is caused by Grantor in connection therewith. 5 . Grantor will have the right to use the Property described in this Grant of Easement for purposes not inconsistent with Grantee' s full enjoyment of the rights granted herein, provided that Grantor will not erect or construct any building or other structure on the Property. to he benefit 6 .
