Title: VVXI,-� Date: R11V ll Date: Contact Phone: — Phone: (209) 369-0375 Section 1:Scope of Services 1.1 Consultant will notify Client in writing if Consultant identifies conditions or circumstances that were not contemplated at the start of this agreement. If necessary,Consultant will provide Client with a notice in writing confirming a change in the proposal. Ail such notices will become an amendment to this agreement unless Chem objects In writing within 5 business days after receipt.Ail services performed by Consultant on the project are subject to the terms and limitations of this agreement. 1.2 Client exprmfy waives any,claim against Consultant resulting from Consultant's failure to perform additional services that Client has not authorized Consultant to perform,and any claim that Consultant failed to perform services that Chant instructs Consultant not to perform. 1.3 Consultant's proposal specifically,excludes any services related to mold or other biological agents. Section 2 Client's Responsibilities - 2,1 Client will assist and cooperate with Consultant in any manner necessary and within as ability to facilitate Consultant's performance under this agreement. 2-2 Client will supply Consultant with any information,documents,or knowledge in Client's possession trot are relevant to Consultant's services. Client warrants the accuracy of any information supplied by it to Consultant,and acknowledges that Consultant is emitted to rely upon such information without verifying its accuracy.Prior to the commencement of any Services in connection with a spectfic property,Client will notify Consultant of any known potential or possible health or safety hazard existing on or near the Project Site,with particular reference to Hazardous Materials or conditions. 2.3 Client is responsible for executing all manifests or other documents evidencing ownership,possession or control over Hazardous Materials. Client shall provide all required notifications to applicable Govemmental Agencies,regulatory bodies orthe public related to the existence, discharge,release,disposal,and/or transportation of Hazardous Materials. Section 3:Right of Entry 3.4 The Client will provide for right of entry of the Consultant and all equipment necessary in order to complete the work. 3.5 While the Consultant will take reasonable precautions to minimize damage to the property,It Is understood by the Client that in the normal course of work some damage may occur,the correction of which is not part of this agreement. Section 4:Utilities 4.1 In the prosecution of his work,the Consultant will take all reasonable precautions to avoid damage or injury to subterranean structures or utilities. The owner agrees to hold the Consultant harmless for any damage to subterranean structures or utilities which are not called to the Consultant's attention and correctly shown on the plans furnished. Section 5:Samples 5.1 Soil samples will be examined In the field and will remain on-site in most cases. Samples collected for laboratory analysis will be fold by Consultant's laboratory for up to 30 days. Disposal of all hazardous materials is the responsibility of the owner. Section 6:Invoices 6.1 The Consultant will submit invoices to the Client monthly and a final bill upon completion of services. 6.2 All check payments must be made out to Live Oak Geolinvironmental,Inc. The address is 407 W.Oak Street,Lodi,CA 95240. 6.3 Payment is due upon presentation of the work product end invoice.Any prepayment and periodic invoicing will be applied to the final invoice amount. Section 7:Ownership of Documents 7.1 All reports,boring logs,field notes,laboratory test data,calculations,estimates,and other documents prepared by the Consultant,as Instruments of service,shall remain the properly of the Consultant. 7.2 Client agrees that all reports and other work furnished to Client and Client's agents,which are not paid for,will be returned upon demand and will rot be used by the Client for any purpose whatever. 7.3 The Consultant will retain all records relating to the services performed for a period of five years following submission of the report.
