Terms, conditions and other matters contained or referred to in the Operating <br /> Agreement and/or other documents relating to the management and operation of <br /> TRIMARK COMMUNITIES, LLC, a California Limited Liability Company, and the <br /> consequences of not complying with such terms, conditions and other matters. <br /> NOTE 1: A certified copy of the LLC-1A for said limited liability.company was <br /> recorded February 23, 2001 in Official Records, under Recorder's Serial Number <br /> 2001-25180. <br /> NOTE 2: The California Secretary of State's Office reports said !_LC is active and in <br /> good standing as of the date hereof. <br /> ( NOTE 3: Prior to the issuance of any Policy of Title Insurance, .Old Republic Title <br /> Company will require: <br /> a) A fully executed copy of the operating agreement for the above referenced <br /> limited liability company, and any amendments) thereto. <br /> b) A statement, under penalty of perjury, that the operating agreement and <br /> any amendments submitted to Old Republic constitute all the documents <br /> relating to the operation and management of said LLC. <br /> c) If the LLC membership consists of more than one (1) member, an affidavit <br /> listing all current members shall be provided, together with satisfactory <br /> evidence the members of said LLC approve of or ratify the transaction <br /> contemplated hereby; including, but not necessarily limited to, corporate <br /> resolutions by any corporate member/manager authorizing the corporation <br /> to act in its capacity as a member/manager of said LLC and identifying the <br /> person(a) authorized to execute instruments in connection with the <br /> transaction contemplated hereby. <br /> Old Republic Title Company, for itself and its underwriter, expressly reserves the <br /> right to raise additional exceptions and/or establish additional requirement upon <br /> review of any documentation submitted in connection with the above <br /> requirements. <br /> Page 13 of 15 Pages i <br /> nRT 3158-3 <br /> i <br />
