Use of Property <br /> The PROPERTY may be used by TENANT for the following <br /> purposes without the consent of the Owner: (i) operation of a <br /> railroad oriented intermodal facility; (ii) storage of trailers, <br /> containers, parts, equipment, and goods; (iii) loading and <br /> unloading of trucks, trailers and containers and railroad cars; <br /> and (iv) transferring goods between storage, containers, trucks, <br /> trailers, or railroad cars or any combination of them. Any other <br /> use of the PROPERTY may be made only with the prior written <br /> consent of the Landlord. LANDLORD'S consent will not unreason- <br /> ably be withheld. <br /> 5. Option to Renew <br /> Provided that TENANT is not in default of any term or <br /> condition of this Lease, then the TENANT shall have the right to <br /> renew and extend this Lease at the and of the initial term for <br /> one consecutive term of twenty-five (25) years. Written notice <br /> of TENANT'S intention to renew this Lease per this Option shall <br /> be given to LANDLORD, in writing, not less than three hundred and <br /> sixty (360) days prior to the expiration of the initial term. <br /> All the terms and conditions of this Lease shall remain in full <br /> force and effect during the option term with the exception that <br /> the rental for the Option period will be determined by mutual <br /> agreement or an appraisal, completed by a certified MAI Appraiser <br /> of the American Institute of Real Estate Appraisers, based on the <br /> then current market value of the land only. The determination of <br /> the land value of the property and rent shall be through the <br /> following process: <br /> (a) The LANDLORD and TENANT should attempt to mutually <br /> determine and agree upon the land value of the property at the <br /> commencement of the Option term; <br /> (b) In the event LANDLORD and TENANT are unable to <br /> agree upon the land value, then they shall mutually hire an MAI <br /> appraiser to determine the land value of the property. The cost <br /> of said appraisal shall be borne equally between LANDLORD and <br /> TENANT. In the event the LANDLORD and TENANT agree with the <br /> results of the single appraisal, the rental for the Option Term <br /> shall be based on the land value determined by said appraisal; <br /> (c) In the event the LANDLORD and TENANT do not agree <br /> with the results of the appraisal, then each of them, <br /> - 2 - "/4 * <br />
