P.053 <br /> 18. First Right of Refusal to Purchase <br /> (a) LANDLORD shall not, at any time prior to the <br /> expiration of the term of this Lease, or any extension thereof, <br /> sell the PROPERTY, or any interest therein, without first giving <br /> written notice thereof to TENANT, which notice is hereinafter <br /> referred to as "Notice of Sale. " <br /> (b) The Notice of Sale shall include the exact and <br /> complete terms of the proposed sale and shall have attached <br /> thereto a photocopy of the bona fide offer and counteroffer, if <br /> any, duly executed by both LANDLORD and the prospective pur- <br /> chaser. <br /> (c) For a period of twenty (20) business days after <br /> receipt by TENANT of the Notice of Sale, TENANT shall have the <br /> right to give written notice to LANDLORD of TENANT'S exercise of <br /> TENANT'S right to purchase the PROPERTY, or the interest proposed <br /> to be sold, on the same terms, price and conditions as set forth <br /> in the Notice of Sale. In the event that LANDLORD does not <br /> receive written notice of TENANT'S exercise of the right herein <br /> granted within said twenty (20)-day period, there shall be a <br /> conclusive presumption that TENANT has elected not to exercise <br /> TENANT'S right hereunder, and LANDLORD may sell the PROPERTY, or <br /> the interest proposed to be sold, on the same terms set forth in <br /> the Notice of Sale, subject, however, to the TENANT'S right to <br /> continue to lease the PROPERTY pursuant to the terms and condi- <br /> tions of this Lease. <br /> (d) In the event that TENANT declines to exercise its <br /> right of first refusal after receipt of the Notice of Sale and, <br /> thereafter, LANDLORD and the prospective purchaser modify by more <br /> than 5%, (i) the sales price, (ii) the amount of down payment, or <br /> (iii) interest charged, or in the event that the sale is not <br /> consummated within 160 days of the date of the Notice of Sale, <br /> then TENANT'S right of first refusal shall reapply to said <br /> transaction as of the occurrence of any of the aforementioned <br /> events. <br /> (e) This First Right of Refusal shall not apply to any <br /> transfer of ownership amongst the immediate families of the <br /> LANDLORD. <br /> 6q� ? <br />
