Above Space for Recorder's Use Only WMORANDUM OF OPTION This Memorandum of Option(this"Memorandum")is made as of October L' ,2007, by and between Manuel Simas and Virginia Simas,Cc-Trustees of the Manuel and Virginia Simas 1998 Revocable Trust dated March 17, 1998,E&E Murphy Family Limited Partnership,a California limited partnership,and Richard A. Simas,Sr.and Bonnie M.Simas,Trustees of the Richard A. Simas and Bonnie M.Simas Trust dated May 13, 1997 and Richard A.Simas,Sr.and Bonnie M.Simas,husband and wife(collectively,"Seller")and Union Pacific Railroad Company,a Delaware corporation("Purchaser'). 1. Seller is the owner and holder of the fee estate in that certain real property consisting of approximately eighty(80)acres located in the City of Manteca,County of San Joaquin,State of California described on Exhibit A attached hereto(the"Land"). 2. Seller and Purchaser entered into that certain Grant of Option dated as of October 29 ,2007(the"Option"),which is incorporated herein by this reference,pursuant to which Seller granted an option to purchase the Land to Purchaser,and Purchaser acquired an option to purchase the Land from Seller,on the terms and conditions set forth therein. 3. Seller hereby grants to Purchaser,and Purchaser hereby acquires from Seller,an option to purchase the Land,on the terms and conditions set forth in the Option. 4. The Option contains provisions relating to the respective rights of Seller and Purchaser. For further information relating to the Option,reference is made to the Option itself. In the event of any inconsistency between this Memorandum and the Option,the Option shall control. Nothing contained herein shall be deemed to amend or modify in any way the terms or provisions of the Ground Lease or the Option. 5- This Memorandum may be executed in one or more counterparts,each of which shall be deemed an original,but all of which together shall constitute one and the same instrument. Separate signature pages may be prepared,and when executed,may be attached to this Memorandum to facilitate signature in counterparts. 6.
