Assignor, as Lessee, and Frank C. Alegre, as Lessor, are parties to a Lease <br /> Agreement dated March 1, 2005 (the "Lease"), under which Assignor has leased <br /> certain general advertising signage rights to the property located at 5184 W. <br /> Highway 12, Lodi, California, Assessor Parcel Number 055-160-22 (the <br /> "Premises") which is more particularly described on Exhibit A attached hereto. A <br /> copy of the Lease is attached hereto as Exhibit B. <br /> B. Assignor and Assignee are parties to an agreement dated as of the 4 day of <br /> September, 2005 pursuant to which Assignor will assign its right, title and interest <br /> in, to, and under the Lease and the Premises to Assignee, and Assignee will <br /> accept that assignment on, and subject to, all of the terms and conditions in this <br /> Assignment and Assumption Agreement. <br /> C. It is the intention of the parties that this Assignment and Assumption constitutes a <br /> complete novation of the Assignor from his duties and liabilities under the Lease. <br /> ASSIGNMENT <br /> Assignor and Assignee agree as follows: <br /> Effective as of the Ut�day of�, 200_(the"Effective Date"), Assignor <br /> assigns and transfers to Assignee all of its right, title and interest in and to the Lease and <br /> Premises.
