RECITALS A. Assignor, as Lessee, and Frank C. Alegre, as Lessor, are parties to a Lease Agreement dated March 1, 2005 (the "Lease"), under which Assignor has leased certain general advertising signage rights to the property located at 5184 W. Highway 12, Lodi, California, Assessor Parcel Number 055-160-22 (the "Premises") which is more particularly described on Exhibit A attached hereto. A copy of the Lease is attached hereto as Exhibit B. B. Assignor and Assignee are parties to an agreement dated as of the 4 day of September, 2005 pursuant to which Assignor will assign its right, title and interest in, to, and under the Lease and the Premises to Assignee, and Assignee will accept that assignment on, and subject to, all of the terms and conditions in this Assignment and Assumption Agreement. C. It is the intention of the parties that this Assignment and Assumption constitutes a complete novation of the Assignor from his duties and liabilities under the Lease.
