<br /> g. Presence of Hazardous Substances, Buyer acknowlcdges and agree that
<br /> the Pzoperty is to be sold and conveyed to, and acceptod by Buyer, in an "as is' condition lvith
<br /> all faults. Subject to Buyer`s right of cancellation under paragraph E of this Agreement, Buyer
<br /> accepts the?roacrty upon the basis Of its sole review and determination of the applicability and
<br /> affect of any laws and regulations (including, but not limited to, zoning, environmental and land
<br /> use laws and regulations)to which the Property is or may be subject. Buyer acknowledges that
<br /> the Property has been used for a variety of industrial and hcavy industrial purposes, and that
<br /> such use may have invo;ved the use of hazardous chemicals and substances and potentially
<br /> ha.ra.rdous chemicals and substances. Buyer acknowledges the Use of raw land on the property
<br /> for parking. Buyer acknowledges the possible existence of asbestos insulation and PCB-laden
<br /> cicctrlcal equipment on the Property, Buyer acknewledges that as a result of rich Lses and
<br /> conditions, physical ch&nes, including petroleum based and chernical seepage, may nave
<br /> occurred or,tho Property.Buyer acknowledges that it is entering into this Agreement on the
<br /> basis of Buyer's own iavestigr:tion of the physical and environmental conditions of the Property,
<br /> including subsurface corditions, and Buycr amutnes the risk that adverse physical and
<br /> envirornmcntal conditions may not have been revealed by its owr: investigation. Buyer further
<br /> acknowledges that neither Seller or its agents or anplovees or other persons acting on behalf of
<br /> it have made any mpreseatadons or warrant:ce of any kind in connection with any matter
<br /> relating to the condition, value,fit.,tess, suitability or zoning of the Property upon which Buyer
<br /> has relied direetiy or indirectly for any purpose. Buyer hereby waives, releases, remises, acquits
<br /> al;d forever discharaea Seller and Seller's employees, agents,or any other persons acting on
<br /> behalf of Seller, Of and from any claims, actions, causes of action, demands, rights, damages,
<br /> vests, expenses or compensation whatsoever, direct or indirect, :mover or unknown, foreseen or
<br /> unforeseen, which B�yor now has or which may arise in trhe future on the account of or in any
<br /> way growing out of or connected with the physical condition of the Property or z^,v law or
<br /> regulation applicabe thereto.
<br /> 9. 9Sidenao of Title, On or before the Close of Escrow, Buyer shall have received
<br /> evidence that Escrow Holder is ready, willing, and able to issue, upon payment of its rnularly
<br /> scheduled premium, a Cali,ornia Land Title Association (CLIA)owner's policy of title
<br /> insutunce (Owner's Policy) in the face amount of the Purchase Price, showing title to the
<br /> property vested in Buyer subject only to the Permitted Exceptions, Cie tier, of real property taxes
<br /> for the auzent fiscal year not yet due or payable, and the standard preprinted exceptions ane
<br /> stipulations of tete title policy.
<br /> 10. Pm ionx. General and special taxes for the fiscal year at the close of escrow; al l
<br /> special Wd bonded assessments ar,d levies, if aay, imcludcd in and payable with the taxes
<br /> attributable to said propwy and any rents pertaining to ere Praperty are to be prorated as of the
<br /> date of recoding the Deed. Buyer shall rot be responsible for unpaid back taxes, if any.
