RECORDING REQUESTED BY: <br /> Alliance Title Company <br /> AND WHEN RECORDED MAIL TO: <br /> Rosemary E.Carson � V, <br /> Blackwell Sanders Peper Martin LLP ` <br /> 720 Olive Street, Suite 2400 4?�) <br /> St.Louis, MO 63101 <br /> (SPACE ABOVE FOR RECORDER'S USE ONLY) <br /> ACCESS AGREEMENT <br /> This Access Agreement(this"Agreement") is made and entered into as of theS+k day <br /> of )Ze_e nber ,2005 (the"Effective Date"), by and between TYCO PRINTED CIRCUIT <br /> GROUP LP("Seller")and THE PIERCE BUILDING,LLC ("Buyer"). <br /> WHEREAS, Seller and Pat Craig entered into that certain Purchase and Sale Agreement <br /> dated as of December 23,2004, as amended by that certain First Amendment to Purchase and <br /> Sale Agreement and Assignment(the"First Amendment")dated as of ► eCEvy'-bg e-- 's , <br /> 2005 between Seller, Pat Craig and Buyer(collectively,the"Sale Contract'), pursuant to which <br /> Pat Craig assigned his interest in the Sale Contract to Buyer and which Sale Contract provides <br /> for the sale from Seller to Buyer of certain real property located in Stockton, California and more <br /> particularly described on Exhibit 1 attached hereto and incorporated herein (the"Property"); <br /> and <br /> WHEREAS, capitalized terms used but not defined herein shall have the meanings <br /> ascribed to such terms in the Sale Contract; and <br /> WHEREAS, Section 3 of the Sale Contract,together with Section 3 of the First <br /> Amendment,provides that Seller will diligently pursue completion of certain groundwater <br /> remediation and/or on-going monitoring(the"Groundwater Monitoring")and soil and/or soil <br /> gas remediation on the Property(the"Soil Remediation"), including under the building which is <br /> located on the Property,as required by any Agencies after the Closing Date(collectively,the <br /> "Remediation Work")and that Buyer must permit Seller and its agents, employees and <br /> contractors access to the Property to conduct such Remediation Work in accordance with the <br /> terms of the Sale Contract and this Agreement. <br /> NOW,THEREFORE, in and for consideration of the above-stated premises and other <br /> good and valuable consideration,the parties hereto agree as follows: <br /> 1.
