i <br /> herein or not conducted in accordance with the provisions of this Agreement. (The term <br /> "Licensee" as used herein shall mean,jointly and severally, Licensee,its agents and independent <br /> contractors). <br /> E (b) Except as expressly directed by Owner in writing, Licensee shall not release or <br /> communicate any information, data,reports'or notes concerning the Work to third parties,unless <br /> required by law, other than its attorneys, consultants, agents and representatives of governmental <br /> authorities and agencies exercising jurisdiction over the Work without the prior. consent of <br /> Owner. Licensee shall promptly supply Owner with complete copies of all results, reports, <br /> analysis and related!laboratory and field data and.procedures created in connection with the <br /> Work, and shall promptly provide Owner with copies of any reports or other documents <br /> submitted to or received from governmental or regulatory agencies in connection with the Work, <br /> at no cost to Owner:: Owner shall also have the right, at its own expense, to take and analyze <br /> split samples of any',"soil or groundwater collected by Licensee, and, if requested in writing in <br /> advance of the sampling activity by Owner, Licensee shall reasonably cooperate with Owner in <br /> the obtaining of the.split samples. <br /> 3. Advance Notice of Entry;_General Requirements.' <br /> (a) Licensee shall provide at,least three (3) days'.written notice to Owner's Work <br /> fRepresentative prior,to entry upon any portion of the Property for the purpose of performing any <br /> Work. -In providing such notice, Licensee shall state the date on which,entry is desired for <br /> performance of the'. Work, the name, address and telephone number of the agents and <br /> independent contractrs who will perform the Work, and the nature and specific location on the <br /> Property of the Work to beperformed. Owner shall have the right to schedule the Work.so as to <br /> minimize interference with normal business operations of the shopping center. Owner, or its <br /> representatives, shall have the right to accompany Licensee in connection with any entries onto <br /> the Property. << <br />' (b)No Work,monitoring or sampling or repairs or alterations to all or any portion <br /> of the boreholes or wells, or any associated'equipment or systems, shall be performed during the <br /> period from November 10 through the following January 5 of any year unless written permission <br /> is received from Owner. All Work including,without limitation,monitoring and sampling, shall <br /> 1 be scheduled at times acceptable to Owner and least likely to disrupt use of the shopping center <br /> or disrupt the business conducted thereon. Licensee shall use its best efforts to perform the <br /> Work and to locate the boreholes or wells in a manner so as not to unreasonably interfere with <br /> use of the shopping center or to disrupt the business conducted thereon. <br /> (c) Licensee agrees, at its sole cost and expense, to conduct and perform all <br /> factivities on the Property in a prompt, safe, efficient and workmanlike manner and in full and <br /> complete compliance with all applicable federal, state and local laws,regulations and ordinances. <br /> 4. WorkTlan. Licensee shall cause the Work to be performed in accordance with <br /> the provisions of thepreviously referenced Exhibit A. <br /> -5. Utilities.
