r SITE ACCESS AGREEMENT , jZ>THIS SITE ACCESS AGREEMENT ("Agreement') is entered into as of this day of , by and between VALERO RETAEL HOLDINGS, INC., a Delaware corporation ("Valerd),and"0 ONLY STORES,a California corporation("Owner"). RECITALS A. Owner holds record title to certain real property located at 1120 E. Hammer Lane in the City of Stockton,County of San Joaquin, State of California(the"Property"); B. Valero or an affiliate of Valero, operated or operates a retail service station at 1210 E. Hammer Lane in the City of Stockton, County of San Joaquin, State of California commonly referred to as Service Station No. 3641 (the"Service Station"); C. Valero seeks Owner's consent to Valero accessing the Property to conduct the Work, as defined in Paragraph 1 below; and D. Owner is willing to grant Valero access to the Property for the above-described purposes, subject to the terms and conditions hereinbelow. TERMS AND CONDITIONS NOW,THEREFORE,in consideration of the mutual covenants and promises herein,the parties hereby agree as follows: 1. RIGHTS GRANTED Owner hereby grants to Valero, its employees, agents, representatives, consultants and contractors, a temporary license over, under and across the Property for the purpose of performing the following environmental work under government agency oversight or direction (the "Work"): closure of certain groundwater monitoring wells identified on the site plan attached hereto as Exhibit "A" associated with environmental investigation related to the operation of the Service Station, including inspection and removal of equipment, materials and facilities associated therewith (collectively, the"Well Equipment'), in accordance with applicable laws and the rules, regulations and requirements promulgated by the County of San Joaquin, California and all other applicable governmental authorities with regard to the closure of groundwater monitoring wells. The Work shall be limited to the extent reasonably necessary for the inspection and removal of the Well Equipment. Owner agrees to cooperate with Valero in connection with the prosecution of the Work, provided that Owner shall not be required to incur any cost or liability in connection therewith. Valero shall be as fully responsible to Owner for the acts and omissions of Valero's consultants and contractors and their respective employees, agents and representatives as Valero is for the acts and omissions of Valero's own employees, agents and representatives. 2. PERFORMANCE OF THE WORK Valero agrees, at its sole cost and expense, to conduct and perform the Work in a diligent, prompt, safe,efficient, good and workmanlike manner and in compliance with all applicable federal, state and local laws, regulations, ordinances and orders. Additionally, Valero shall perform and schedule the Work in a manner that minimizes any adverse impact on the Property, Owner's use thereof and its business operations at the Property.
