May 14 12 11:21a DGF Enterprises,LLC 530-676-9848 p•2 SITE ACCESS AGREEMENT This Agreement is entered into as of the 25 day of May , 2012, between Quik Stop Markets. Inc. ("Permitee) and PRB Management LLC (the"Property Owner'). Recitals A. The Property Owner owns certain real property commonly known as Taco Bell, located at 3507 W. Hammer Lane, Stockton; CA(the "property)_ B. Permitee has been requested to provide a valid off-site access agreement the abandon the monitor wells associated with the above address. The San Joaquin County Public Health Services, Environmental Health Department (DEH) has granted case closure for the subsurface investigation that was performed at the adjoining Quik Stop gas station located at 3555 W. Hammer Lane. C. Permitee wishes to conduct well abandonment activities on the Taco Bell Property to remove existing groundwater monitor wells as directed by the DEH. NOW THEREFORE, in consideration of the mutual covenants contained herein, it is hereby agreed as follows: 1. Grant of License. Subject to the terms and conditions of this Agreement, the Property owner hereby grants Permitee a license to enter the property for the limited purpose of abandoning any groundwater monitor wells that were installed on the property as part of the underground soil and groundwater Investigation previously performed at 3555 W. Hammer Lane. 2. Limitation on Use. � (a) Prior to each entry onto the Property, Permitee shall provide forty-eight (48) hours notice to the Property Owner, arrange for access, and, if requested by Property Owner, allow oversight of all on-site activities. (b) Permitee shall ensure that none of its activities on the Property unreasonably Interfere with or delay any other activities that are being undertaken on the Property. The Permitee shall at its sole cost and expense, repair, replace, or otherwise correct any and all damages unreasonably caused to the Property and leave the Property in the same condition as prior to commencement of the site investigation. 3. Term. The term of this Agreement shall commence on the date of execution of this Agreement and shall continue thereafter until the well abandonment activities are completed or no later than July 31, 2012, whichever occurs first.
