May 14 12 11:21a DGF Enterprises,LLC 530-676-9848 p•2 <br /> SITE ACCESS AGREEMENT <br /> This Agreement is entered into as of the 25 day of May , 2012, between Quik <br /> Stop Markets. Inc. ("Permitee) and PRB Management LLC (the"Property Owner'). <br /> Recitals <br /> A. The Property Owner owns certain real property commonly known as Taco Bell, <br /> located at 3507 W. Hammer Lane, Stockton; CA(the "property)_ <br /> B. Permitee has been requested to provide a valid off-site access agreement the <br /> abandon the monitor wells associated with the above address. The San Joaquin <br /> County Public Health Services, Environmental Health Department (DEH) has <br /> granted case closure for the subsurface investigation that was performed at the <br /> adjoining Quik Stop gas station located at 3555 W. Hammer Lane. <br /> C. Permitee wishes to conduct well abandonment activities on the Taco Bell <br /> Property to remove existing groundwater monitor wells as directed by the DEH. <br /> NOW THEREFORE, in consideration of the mutual covenants contained herein, it is <br /> hereby agreed as follows: <br /> 1. Grant of License. Subject to the terms and conditions of this Agreement, the <br /> Property owner hereby grants Permitee a license to enter the property for the <br /> limited purpose of abandoning any groundwater monitor wells that were installed <br /> on the property as part of the underground soil and groundwater Investigation <br /> previously performed at 3555 W. Hammer Lane. <br /> 2. Limitation on Use. � <br /> (a) Prior to each entry onto the Property, Permitee shall provide forty-eight (48) <br /> hours notice to the Property Owner, arrange for access, and, if requested by <br /> Property Owner, allow oversight of all on-site activities. <br /> (b) Permitee shall ensure that none of its activities on the Property unreasonably <br /> Interfere with or delay any other activities that are being undertaken on the <br /> Property. The Permitee shall at its sole cost and expense, repair, replace, or <br /> otherwise correct any and all damages unreasonably caused to the Property <br /> and leave the Property in the same condition as prior to commencement of <br /> the site investigation. <br /> 3. Term. The term of this Agreement shall commence on the date of execution of <br /> this Agreement and shall continue thereafter until the well abandonment activities <br /> are completed or no later than July 31, 2012, whichever occurs first. <br />
