NOW, THEREFORE, based upon ( i) the Court ' s review <br /> of the certificates and Voting Report, (ii) all of the <br /> evidence proffered or adduced at, objections filed in <br /> connection with, and arguments of counsel made at the <br /> Confirmation Hearing and ( iii) the entire record of this <br /> Chapter 11 Case; and after due deliberation thereon and <br /> good cause appearing therefor, <br /> FINDINGS OF FACT AND CONCLUSIONS OF LAW - <br /> IT IS HEREBY FOUND AND DETERMINED THAT <br /> 1 . Exclusive Jurisdiction; Venue; Core Proceed- <br /> ing (28 U. S .C. §§ 157 (b) (2) and 1334 (a) ) . This Court has <br /> jurisdiction over the Chapter 11 Case pursuant to 28 U. S .C. <br /> §§ 157 and 1334 . Venue is proper pursuant to 28 U. S .C. <br /> §§ 1408 and 1409 . Confirmation of the Plan is a core pro- <br /> ceeding under 28 U. S.C . § 157 (b) (2) , and this Court has <br /> exclusive jurisdiction to determine whether the Plan com- <br /> plies with the applicable provisions of the Bankruptcy Code <br /> and should be confirmed. <br /> 2 Findings of fact shall be construed as conclusions of <br /> law and conclusions of law shall be construed as <br /> findings of fact when appropriate. See Fed. R. Bankr. <br /> P. 7052 . <br /> 4 <br />
