The conditions to the Effective Date set forth in <br /> Article IX.B of the Plan will be satisfied or authorized by <br /> the entry of the Confirmation Order, or are subject to <br /> waiver in whole or in part by the Debtors after notice of <br /> such proposed waiver and consent of the Creditors ' ('ommit- <br /> tee. <br /> 29 . Waivers of Claims and Covenants Not to Sue . <br /> In consideration for the distributions and other benefits <br /> provided under, described in, contemplated by, and/or <br /> implemented by the Plan, the waiver of Claims and covenant <br /> not to sue described in Article XII . B of the Plan consti- <br /> tute good faith compromises of the Claims covered thereby. <br /> Such compromises are made in exchange for consideration and <br /> are in the best interests of holders of Claims, are within <br /> the range of possible litigation outcomes, are fair, <br /> equitable, reasonable and are integral elements of the <br /> restructuring and resolution of the Chapter 11 Case in <br /> accordance with the Plan.
