INTRODUCTION GWI. Inc. ("GWI") and its affiliates listed on the annexed Exhibit A (the "Affiliated Debtors" and, together with GWI,the "Debtors") hereby propose this joint reorganization plan (the "Plan"). The Debtors'Disclosure Statement, distributed with this Plan,contains a discussion of the Debtors'history. businesses and properties and a summary of the Plan and certain related matters relating to the Plan's confirmation. The Debtors urge all holders of Claims and Interests to review the Disclosure Statement and Plan in full. ARTICLE I. DEFINITIONS, RULES OF INTERPRETATION, AND COMPUTATION OF TIME A. Scope of DePtnitions; Rules of Construction Except as expressly provided or unless the context otherwise requires,capitalized terms not otherwise defined in this Plan shall have the meanings ascribed to them in this Article I. Any term used in the Plan that is not defined herein,but is defined in the Bankruptcy Code or the Bankruptcy Rules,shall have the meaning ascribed to it therein. Where the context requires, any definition applies to the plural as well as the singular number. B. Definitions 1.1 "Administrative Claim" means a Claim for payment of an administrative expense of a kind specified in section 503(b) or 1114(e)(2)of the Bankruptcy Code(including any claims by the Indenture Trustee that are entitled to administrative priority treatment under section 503(b)of the Bankruptcy Code)and entitled to priority under section 507(a)(1) of the Bankruptcy Code,including(a)actual,necessary costs and expenses,incurred after the Petition Date,of preserving the Debtors'Estates and operating their businesses,including wages,salaries,or commissions for services rendered after the Petition Date,(b)Professional Fees,(c) all fees and charges assessed against the Estates under chapter 123 of title 28, United States Code,and (d)all Allowed Claims that are entitled to be treated as Administrative Claims by virtue of a Final Order entered under section 546(c)(2)(A)of the Bankruptcy Code. 1.2 "Administrative Claims Bar Date"means the deadline for filing Administrative Claims, including Professional Fee Claims,Substantial Contribution Claims, and Claims based on the expenses of individual members of the Creditors' Committee,which date shall be the first Business Date that is at least 45 days after the Effective Date, or any other later date so denominated in the Confirmation Order. 1.3 "Allowed Claim" means a Claim or any portion thereof that(a) appears on any of the Debtors'Schedules and is not identified therein as contingent,unliquidated,or disputed; (b) is specifically allowed in this Plan; (c)is the subject of a timely-filed proof of claim(or timely-filed request for payment, with respect to an Administrative Claim for which such a request is necessary under Article XIII Section A),as to which(i) no timely objection has been filed,or(ii)any objection has been settled, waived by payment,or withdrawn;or(d) has been allowed by a Final Order of the Bankruptcy Court. 1.4 "AmerUS Life" means AmerUS Life Insurance Co., mortgagee on the GWI Warehouse. 1.5 "AmerUS Life Secured Claim"means the Secured Claim of AmerUS Life. 1.6 "AmerUS Life Security Deposit" means the escrow account in the amount of$1,088,142.71 maintained at Bankers Trust Company by the Debtors which collateralizes the Debtors'obligations to AmerUS Life in connection with the mortgage of the GWI Warehouse. 1.7 "Ballot" means a ballot in the form distributed with the Disclosure Statement to holders of Claims and Interests entitled to vote on the Plan. 1.8 "Ballot Summary"means the Debtors'report,to be filed with the Bankruptcy Court before the Confirmation Hearing,summarizing the votes of holders of Claims and Interests to accept or reject the Plan.
