1.46 "Disclosure Statement" means the written disclosure statement that relates to the Plan,dated October 6. 2000.that the Debtors have distributed in accordance with section 1125 of the Bankruptcy Code and Fed. R. Bankr. P. 3018. 1.47 "Disputed Claim" means any Claim that is not an Allowed Claim or a Disallowed Claim. 1.48 "Distribution Date" means the date,occurring on or as soon as practicable after the later of(i) the Effective Date. or(ii)the date on which the Disbursing Agent is first required to make distributions to holders of Allowed Claims as provided in Article V of this Plan. 1.49 "Distribution Record Date" means the record date for purposes of making distributions under the Plan on account of Allowed Claims, which date shall be the fifth Business Day before the Effective Date. 1.50 "Distribution Reserve" has the meaning ascribed to such term in Article VI Section B. 1.51 "Effective Date" means the first Business Day(i)on which all conditions to the Plan's consummation in Article IX Section B hereof have been satisfied or waived and(ii) that is the date on which the Plan is consummated. 1.52 "11% Discount Debenture Claim"means a Claim of a holder of I I%Discount Debentures,arising under or as a result of the 11%Discount Debentures. 1.53 "11%Discount Debentures" means the 11%Senior Subordinated Discount Debentures Due December 15,2009 of SFC Sub, issued and outstanding under the 11%Discount Debentures Indenture. 1.54 "11%Discount Debentures Indenture" means the indenture,dated June 11, 1999,between SFC Sub and United States Trust Company of New York,as trustee, under which the 11%Discount Debentures were issued. 1.55 "111/4%Senior Note Claim" means a Claim of a holder of 11'/.%Senior Notes,arising under or as a result of the 11'/.%Senior Notes. 1.56 "I 1'/s%Senior Notes" means the 111/4%Senior Notes Due August 15,2001 of SFC-NH, issued and outstanding under the 11114% Senior Notes Indenture. 1.57 "111/4% Senior Notes Indenture" means the indenture,dated Ju 11, 1999,between SFC-NH and United States Trust Company of New York,as trustee, under which the 11 V4% Senior Nates were issued. 1.58 "Equity Securities" means any or all of the Old SFAC Preferred Stock,Old SFAC Common Stock,Old SFAC Warrants,Old SFC Common Stock,Old SFC-SUB Common Stock,Old SFAC-NH Common Stock,Old SFC-NH Preferred Stock,Old SFC-NH Common Stock,Old SFFC Common Stock,Old SFC-SPV Common Stock,and Old GWI Common Stock and any warrants,options or other contractual rights to acquire any of the foregoing. 1.59 "Escrow Recoveries" means any amounts returned to SFC-NH or any of its affiliates from escrow accounts established in connection with the sale or other disposition of any of their operating assets, including any Metz Escrow Recovery and any Cookie Business Escrow Recovery. 1.60 "Estate"means the estate of any Debtor in the Chapter 11 Case,and"Estates"means,collectively, the estates of all of the Debtors in the Chapter 11 Case,in each case as created under section 541 of the Bankruptcy Code. 1.61 "Estate Claim"means any claim or cause of action held by any Debtor against any other Person, including any claim arising before the Petition Date and any claim that a Debtor may hold under the Bankruptcy Code. 1.62 "Existing Securities" means,collectively,the Equity Securities and the Debt Securities.
