LEASE AMENDMENT AND GRANT OF EXTRA RENEWAL OPTION

<br /> Gentlemen:
<br /> Please refer to that certain Lease dated April 18, 1973, between W J Robinson, Jr, and Marie 8 Robinson, whose interest
<br /> therein has been acquired by the undersigned, as Lessor, and The Goodyear Tire & Rubber Company, as Lessee, relative to the
<br /> occupancy by Lessee of premises owned or controlled by Lessor at 125 East Lodi Avenue, City of Lodi, County of San Joaquin,
<br /> state of California. The provisions of said Lease give you the privilege of occupying said premises until February 28, 1994,
<br /> with two (2) additional five (5) year renewal options available thereafter.
<br /> It is hereby proposed that in consideration of the mutual benefits expected to accrue to each of the parties hereto, you are
<br /> hereby granted the right and option of extending the term of said Lease, for one additional successive period of five (5)
<br /> years beginning March 1, 2004, at a minimum monthly rental of $2,400.00, and subject to all of the other terms, conditions
<br /> and provisions thereof, as heretofore amended and extended from time to time, including Lessee's right to exercise the lease
<br /> renewal options presently available under the terms of the Lease, by notifying the undersigned of your intention to extend
<br /> at least sixty (60) days prior to the effective date of such period.
<br /> In further consideration of the grant of the additional five year renewal option set forth above, it is hereby proposed that
<br /> said Lease shall be further amended as follows:
<br /> (a) The parties hereto agree and desire to effect the removal and disposal of the underground used oil storage tank (UST)
<br /> and in an effort to share the burden and cost caused by this removal, hereby agree to split the cost and expenditures
<br /> on an equal 50-50% basis.
<br /> (b) Within a reasonable time after execution hereof, Lessor shall request not less than two (2) bids from qualified
<br /> bidders, to complete the removal and disposal which is to be performed in a good workmanlike manner; minimize any
<br /> business interruption to Lessee's operator; will include all work of removal, disposal, testing, permits and fees,
<br /> certification and documentation, and complete restoration of parking area; and shall meet all applicable local,
<br /> county, state and federal laws, codes, requirements and regulations. Lessee may, but shall not be required to obtain
<br /> additional bids. Such bids shall be presented to Lessor and Lessee, respectively, for review and approval.
<br /> (c) Lessor shall award the removal contract to the lowest responsible and qualified bidder at a cost not to exceed that
<br /> authorized in writing by Lessee's Architectural Division and shall thereafter proceed promptly at its expense with
<br /> the removal in accordance with said written authorization.
<br /> (d) Promptly after the completion of the above referred to removal, disposal, restoration, certification and
<br /> documentation, Lessor shall furnish to Lessee a complete summary of the aggregate cost thereof, along with copies
<br /> of all documentation and certifications. Such cost shall be subject to audit by Lessee's authorized representative.
<br /> (e) Lessee shall, upon billing therefor, and receipt of all documentation and certifications required by any governmental
<br /> authority, reimburse Lessor for fifty percent (50X) of its out-of-pocket expense in securing the work outlined above,
<br /> in an amount not to exceed the cost authorized in writing by Lessee's Architectural Division.
<br /> All other terms, conditions and provisions of said Lease shall remain the same and in full force and effect.
<br /> Please indicate your acceptance of the foregoing by signing and returning to the undersigned the attached copy of this letter.
