35. Rights Offering Participants who wish to participate in the Rights Offering <br /> are required to (a)return a duly completed and executed Subscription Form to the Subscription <br /> Agent so that such form is received by the Subscription Agent on or before the Voting Deadline; <br /> and(b)pay an amount equal to the Subscription Purchase Price (as defined in the Plan)by wire <br /> transfer or bank or cashier's check so as to be received by the Subscription Agent on or before <br /> the Subscription Purchase Price Payment Date (as defined in the Plan), or, with respect to <br /> holders of Class 1 lb Old Convertible Note Claims, if the securities of such holder are held <br /> through a bank or brokerage firm, send the Subscription Form to the bank or brokerage firm(or <br /> follow such firm's directions with respect to submitting subscription instructions to the firm) <br /> with enough time for the bank or brokerage firm to effect the subscription through DTC on or <br /> before the Subscription Purchase Price Payment Date. If the Subscription Agent for any reason <br /> does not receive from a given Initial Rights Offering Participant both a timely and duly <br /> completed Subscription Form and timely payment of such holder's Subscription Purchase Price, <br /> such Initial Rights Offering Participant will be deemed to have relinquished and waived its right <br /> to participate in the Rights Offering. <br /> 36. In addition,the Debtors may adopt, as necessary, any additional detailed <br /> procedures consistent with the provisions of the Rights Offering including,but not limited to, <br /> provisions governing the Undersubscription (as defined in the Plan). <br /> H. When No Notice or Transmittal Necessary <br /> 37. No Solicitation Packages or other notices need be transmitted to (a) <br /> holder;;of claims that have already been paid in full or that are authorized to be paid in full in the <br /> ordinary course of business pursuant to orders entered by this Court or(b) any person to whom <br /> the Debtors mailed a notice of the meeting of creditors under Bankruptcy Code section 341 and <br /> such notice was returned marked"undeliverable"or"moved-no forwarding address" or for a <br /> 18 <br />
