Attorneys' Fees Reimbursement–Licensee shall reimburse Licensor for attorney's fees <br /> associated with this Agreement, in an amount not to exceed one thousand five hundred dollars <br /> ($1,500.00), as full and final payment. Said payment shall be due and payable within thirty (30) <br /> days following the full execution of this Agreement by all Parties and of Licensee's receipt of the <br /> related attorney invoice. In addition, if any Party hereto institutes any action or proceeding <br /> against the other arising out of or related to this Agreement, the prevailing Party shall be entitled <br /> to reasonable attorneys' fees and all costs and expenses in the proceeding. <br /> 19. Execution of Agreement - Each of the undersigned hereby represents and warrants that <br /> they are authorized to execute this Agreement on behalf of the respective Parties to the <br /> Agreement, and that this Agreement, when executed by those Parties, shall become a valid and <br /> binding obligation, enforceable in accordance with its terms. Upon execution, this Agreement <br /> shall be binding as to the Parties'respective parent companies, subsidiaries, affiliates, successors, i <br /> heirs and Licensor's assigns. 1 <br /> 20.
