EXHIBIT "B" <br />AGREEMENT FOR ENTRY FOR ENVIRONMENTAL <br />REVIEW AND OTHER INSPECTIONS <br />This Agreement, dated , 2023, is made and entered into among SAN <br />JOAQUIN REGIONAL TRANSIT DISTRICT, a public agency ("RTD"), DSS -2731 <br />MYRTLE LLC, an Illinois limited liability company ("OWNER"), and SARDEE <br />INDUSTRIES, INC. ("TENANT"). <br />Qty r�,�y <br />A. OWNER owns the fee interest in certain real property located at 2731 E. <br />Myrtle Street, Stockton, California 95205 (San Joaquin County Assessor's Parcel Number <br />157-020-02) (the "Subject Property"). OWNER currently leases the Subject Property to <br />TENANT. <br />B. TENANT currently leases the Subject Property from OWNER and conducts <br />business thereon. <br />C. On November 10, 2010, RTD filed an action in eminent domain in the <br />Superior Court of the State of California for the County of San Joaquin, denominated SAN <br />JOAQUIN REGIONAL TRANSIT DISTRICT v. DSS -2731 MYRTLE LLC; SARDEE <br />INDUSTRIES, INC. et al., Case No. STK-CV-UED-2010-0018510 (formerly numbered as <br />39 -2010 -00252684 -CU -EI -STK) ("the Eminent Domain Action"), by which RTD sought to <br />acquire the Subject Property in fee for use in connection with its Regional Transportation <br />Center Project ("the Project"). <br />D. On or about April 12, 2011, RTD, OWNER and TENANT entered into an <br />Agreement for Stipulated Possession of Real Property which set forth the terms and <br />conditions under which RTD would acquire prejudgment possession of the Subject <br />Property for the purpose of proceeding with the Project. Under the terms of the <br />Agreement RTD's legal possession of the Subject Property commenced on May 1, 2011. <br />E. On April 17, 2013, RTD abandoned its efforts to take the Subject Property, <br />F. The parties have engaged in settlement discussions, and as part of those <br />discussions RTD, OWNER, and TENANT have entered into a Purchase and Sale <br />Agreement ("PSA"). As part of the PSA, RTD is entitled to inspect the Subject Property, <br />including without limitation to conduct environmental reviews, including without limitation <br />Phase I and Phase II environmental site assessments of the Subject Property <br />(collectively, "Property Inspections"). RTD previously conducted a Phase II environmental <br />site assessment on the north portion of the Subject Property. In order to conduct and <br />complete its Property Inspection, Owner and Tenant will permit RTD to enter it to conduct <br />reasonable Property Inspections, including without limitation to Phase I and Phase 11 <br />environmental site assessments on all of the Subject Property. <br />G.
