<br /> Gentlemen :
<br /> Reference is made to the letter dated May 21 , 1990, from
<br /> Jan W. Stepek , R.G . to Mr. Pat Nolan , Manager , Crestwood
<br /> Hospitals , Inc. , to which was attached a "Site Access Permission
<br /> Form" dated May 21 , 1990, with a blank form of hold harmless
<br /> agreement not filled in , and the letter dated September 10, 1990,
<br /> from Terry R. Winsor , R.G. to Patrick Nolan , Manager , Crestwood
<br /> Hospitals , Inc. , containing a form of hold harmless agreement not
<br /> acceptable to Crestwood Hospitals , Inc . in that it applies only
<br /> to damage or injury arising out of EA 's investigative activities
<br /> on behalf of its client Exxon Company, U .S .A. , provided that such
<br /> loss , damage , or liablity is caused by the actual negligence of
<br /> EA or of its officers , agents , servants , or employees , in the
<br /> event of any loss , damage , or liablity of any kind , whether to
<br /> person or to property , "arising out of the concurrent negligence
<br /> of EA and Crestwood Hospitals , or Crestwood Hospitals ' s officers ,
<br /> agents , servants , employees , or otherwise , EA will indemnity
<br /> Crestwood Hospitals for that proportionate loss , damage , or
<br /> liability directly attributable to EA 's own active neglience ,
<br /> provided , in the event that either EA or Crestwood Hospitals
<br /> engages in willful misconduct , such party shall assume full
<br /> responsibility for any liablity arising thereof irrespective of
<br /> the nature and degree of the other party 's negligence , and will
<br /> indemnify and hold harmless the other party . EA and Crestwood
<br /> Hospitals further agree that in the event of any loss , damage , or
<br /> liability , whether to person or to property, arising out of the
<br /> sole negligence of either EA or Crestwood Hospitals , such party
<br /> will assume full responsibility for any liability arising thereof
<br /> and hold harmless the other party.
<br /> "EA and Crestwood Hospitals further agree that in no
<br /> event will EA ' s liablity exceed proceeds available under—EA 's
<br /> insurance policies . In addition , neither Crestwood Hospitals nor
<br /> EA shall be liable for any incidental , consequential , indirect or
<br /> special damages , including , but not limited to , damages for loss
