Box 9059 Job No.: SP-037 Stockton, CA 95208 Order received by: Wayne Smith Property owner: (Same as above) Address: Location of project: South of Clark Drive, Stockton, California. Description of work: Geotechnical Engineering Report as described in our proposal letter dated March 13, 1992. Fee to be charged*: Estimated fee $2,900. Actual fee will be based on the attached Fee Schedule (3/90). A prepayment of $1,500 is required prior to initiation of the study. *Unless otherwise stated,fees are approximate only and are not to be considered fixed or maximum fee. TERMS Terms of this engagement are stated here and in the General Conditions attached to this document. Geotechnical Consultant agrees to perform its services, which are intended solely for the use of Client,in a proper and professional manner in accordance with current standards of geotechnical practices in the community,and Client agrees to pay for and look to Geotechnical Consultant only for such performances. Client also agrees to indemnify, hold harmless and defend Geotechnical Consultant from and against any and all loss, expenses, including attorney's fees, injury, damage, liability or cost claims arising out of the services performed by Geotechnical Consultant or work by Client or other parties upon the real property described above, regardless of the negligence of Geotechnical Consultant,its agents,employees,or officers,except where such loss,injury,damage, liability,cost,expenses or claims we the result of the sole negligence or willful misconduct of Geotechnical Consultant, its agents,employees,or officers. Liability resulting from design defects(as defined in California Civil Code Section 2782.5)shall be the sole responsibflity of the Client. Geotechnical Consultant agrees to perform services and Client agrees to adhere to these terms and General Conditions and to pay for such services as set forth in this agreement or proposal letter. Submittals to governmental agencies are the responsibility of the Client. Invoices will be submitted upon completion of the work or at two-week intervals and are due and payable upon presentation. A Late Payment Finance Charge computed at the periodic rate of 1-1/2 percent per month(an Annual Percentage Rate of 18 percent)will be applied to any unpaid balance commencing thirty days after the date of the invoice. Cancellation of this contract must be made in writing with seven days notice in conformance to General Conditions.
