or legal proceeding. <br /> 10. Continuing Obligations. The rights and obligations under paragraphs 8 <br /> and 9 shall survive termination or expiration of this License. <br /> 11. City of Lodi Action. This License Agreement is entered into in <br /> furtherance of the Parties' respective obligations under their respective <br /> Settlement Agreements with the City of Lodi in the action entitled City of <br /> Lodi v. M&P Investments, Inc., Case No. OOcv2441 FCD/KJM filed in the <br /> United States District Court for the Eastern District and nothing in this <br /> License Agreement shall be deemed to supersede any provision(s)of the <br /> Parties' respective settlement agreements. <br /> 12. Enforcement. If any legal action is necessary to enforce the terns of this <br /> Agreement, the prevailing party shall be entitled to reasonable attorney's <br /> fees in addition to any other relief to which that party may be entitled. <br /> 13. Insurance. Comprehensive general liability insurance with a minimum <br /> coverage of$l million per occurrence,and $1 million annual aggregate <br /> shall be maintained for Licensees' consultants, employees, authorized <br /> agents, and contractors and any and all certificate(s)of insurance shall be <br /> provided to Licensor prior to the commencement of any work on the <br /> Subject Property. Said policy(ies) of insurance may not be cancelled or <br /> terminated without 30 days advance notice to Licensor. <br /> 14. Notice. Any notice,consent, request, report, demand,or other document <br /> given to or made upon the parties hereto shall be in writing and be <br /> delivered to or mailed to the receiving parry's address referenced above. <br /> 5 <br /> 519273.3 <br />
