HPP-HT R-I AUC TAOC 6"Street Tracy Rail Yard Legal-Site Access-City of"rm) 64� b -e,�5riz SITE ACCESS AGREEMENT p 5 7-7 75 THIS SITE ACCESS AGREEMENT ("Agreement') is entered into by and between TEXACO DOWNSTREAM PROPERTIES INC. ("TDPI'),a Delaware corporation,and CITY OF TRACY(`Ylwner"). RECITALS A. Owner holds record title to certain real property located at Assessor's Parcel Number 235-15-028 and 235-15-029, near the intersection of Sixth Street and N Central Avenue and the intersection of N Central Avenue and E Fourth Street, in the City of Tracy, County of San Joaquin,State of California(the"Property"); B. Tidewater Associated Oil Company ("TAOC")of California, a predecessor to TDPI,operated a crude oil pipeline on property adjacent to the Property; C. TDPI seeks Owner's authorization to access the Property to conduct the Work, as defined in Paragraph I (Rights Granted)below; and D. Owner is willing to grant TOPl access to the Property for the above-described purposes. TERMS AND CONDITIONS NOW, THEREFORE, in consideration of the mutual covenants and promises herein, the parties hereby agree as follows: 1. RIGHTS GRANTED Owner hereby grants to TDPI, its employees, agents, representatives, consultants and contractors, a license over, under and across the Property for the purpose of performing environmental assessment and monitoring activities (the "Work"). Said Work may include, but not be limited to, soil, vapor and groundwater sampling. Prior to the installation of any new equipment on the Property, TDPI and Owner shall work together to determine the appropriate location for the new equipment. Owner agrees to cooperate with TDPI, including the execution of additional documents, if necessary, in order to obtain permits or other documents from a govenunent agency required to install,abandon or remove TDPI's equipment. 2.
