ACCESS AGREEMENT <br /> THIS AGREEMENT is made and entered into this—1-0 day of d 2002 <br /> by and between Georgia-Pacific Corporation (hereinafter "Georgia-Pacific") and The West Side <br /> Irrigation District, a political subdivision of the State of California (hereinafter "Owners"), the <br /> owners of property identified as the West Side Irrigation District Upper Main Canal in Tracy, <br /> California (hereinafter "the Premises" and as indicated on the attached drawing entitled "Site <br /> Map for Well Abandonment," dated March 21, 2002.) <br /> WHEREAS, Georgia-Pacific, its agents, contractors, and their employees, as required by <br /> the Central Valley Regional Water Quality Control Board, wish to perform certain activities to <br /> abandon a recovery well on the Premises. <br /> WHEREAS, the Owners do not object to the performance of such activities by Georgia- <br /> Pacific or its agents or contractors on the Premises. <br /> NOW, THEREFORE, in consideration of the mutual promises contained herein, the <br /> parties do agree as follows: <br /> 1. Georgia-Pacific shall mean Georgia-Pacific Corporation, and all of its <br /> subsidiaries, affiliates, officers, directors, shareholders, employees, authorized agents, <br /> contractors and their employees. <br /> 2. Owners warrant that they are the owners, in fee simple, of the Premises and have <br /> the full right, power, and authority to execute and enter into this Agreement and grant to <br /> Georgia-Pacific the rights granted to it herein. <br /> 3. The Owners hereby agree to give Georgia-Pacific access to the Premises for the <br /> purposes of abandoning the existing recovery well RW-1. Such activities may include and <br /> involve the use by Georgia-Pacific of heavy machinery including trucks and drill rigs. Georgia- <br /> Pacific agrees, whenever possible, to conduct these activities in a manner that does not <br /> inconvenience the Owners. <br />
