1 GRANT OF ACCESS RIGHTS <br /> ' THIS INSTRUMENT is made as of this DL day of Tu.G 2011, by THE WEST SIDE <br /> IRRIGATION DISTRICT, having an address of 1320 Tracy Boulevard, Tracy, California 95378 <br /> ("Grantor"), for GEORGIA-PACIFIC LLC, a Delaware corporation <br /> ' In consideration of Ten Dollars ($10.00) and the mutual benefits to be derived from the covenants <br /> and agreements hereinafter set forth and the hereinafter described Work, Grantor hereby grants to G-P, <br /> and its employees, agents and contractors, for the period commencing on the date hereof and ending on <br /> ' the date that is ninety (90) days after the date hereof, a right and license to enter upon certain property of <br /> Grantor in Tracy,California for the purpose of removing monitoring wells, as required by the San Joaquin <br /> County Environmental Health Department, and filling the resulting openings (collectively, "Work"), in <br /> ' the locations more particularly designated as BC-9, BC-10 and BC-11A on the site map attached hereto as <br /> Exhibit A. <br /> Upon its exercise of the rights granted to G-P herein, and in consideration therefor, G-P shall be <br /> deemed to have agreed with Grantor as follows: <br /> (a) All Work shall be conducted at G-P's sole cost and expense; <br /> (b) All Work shall be performed in accordance with all applicable laws, and G-P shall be <br /> responsible for obtaining all governmental permits, licenses and approvals necessary for <br /> commencement of any Work; <br /> (c) G-P shall leave the property adjacent to the removed monitoring wells in good condition and <br /> repair upon completion of any Work pursuant to this instrument, and upon Grantor's request <br /> following completion of any such Work, G-P shall use commercially reasonable efforts to <br /> restore adjacent portions of the property to its condition immediately preceding any such <br /> Work; and <br /> (d) G-P shall be completely responsible for all losses, damages and liability to the extent arising <br /> from G-P's negligence or intentional misconduct on the property of the Grantor in connection <br /> with the Work and the exercise of the rights and privileges granted to G-P herein. <br /> IN WITNESS WHEREOF,Grantor has executed this instrument on the date first set forth above. <br /> THE WESTSIDE IRRIGATION DISTRICT <br /> By. <br /> ame: Soh <br /> PEW: <br /> ' Title: li)4TF ! <br /> 6r0,2r)iA/AT-4ie, <br /> i <br /> 2613964-1 <br />
