i <br /> LICENSE AGREEMENT <br /> This LICENSE AGREEMENT is made effective as of June 24, 2014, between <br /> 342 SYCANDA LLC ("Licensors") and GLENN SPRINGS HOLDINGS, INC. <br /> ("Licensee"). <br /> RECITALS <br /> A. Licensors are the sole owners of real property identified as Assessor's <br /> Parcel No. (APN) 198-100-10 (previously APN 195-160-52-8), generally <br /> located north of Louise Avenue and east of McKinley Avenue in Lathrop, San <br /> Joaquin County, California ("Property"). <br /> B. Licensee desires to obtain permission to enter the Property for the purpose <br /> of drilling one monitoring well and sampling the new and existing monitoring wells <br /> as part of a study of groundwater being conducted by it, and Licensors desire to give <br /> such permission. <br /> AGREEMENT <br /> 1. In consideration of the payment by Licensee to Licensors of Six <br /> Hundred Dollars ($600.00) per year (each year shall be from May 2nd of the current <br /> year to May 1st of the following year) until the wells are abandoned. Licensors <br /> hereby give permission to Licensee and its agents and employees to enter the Property <br /> to drill one additional monitoring well and periodically to service and monitor a 11 <br /> wells as required by the study for as long as the study is required by the Regional <br /> Water Quality Control Board and the United States Environmental Protection <br /> Agency. <br /> 2. Licensee agrees to perform all work related to drilling and maintaining the <br /> wells with due care and with minimum interference with the Property. <br /> 3. Licensee hereby indemnifies and agrees to hold harmless Licensors <br /> from and against all loss and damages arising from Licensee's occupation of the <br /> Property in connection with this license. <br /> 4. At least two (2) business days prior to entry, the Licensee shall provide <br /> Licensors with notice of intent to access the Property and such notice shall include a <br /> brief description of the anticipated work and the time and date(s)thereof. <br /> 5. Licensee agrees to close and remove the wells at completion of the study <br /> and monitoring in accordance with all requirements of applicable law. If Licensors <br /> sell the property and the purchaser desires to make use of the property in a manner <br /> inconsistent with the well service and monitoring permitted under this license or if <br /> the Licensors wish to utilize the Property in a similar manner, then upon receiving <br />
