<br /> This agreement, for use by the parties herein contracting for transportation and disposal of biomedical waste materials (infectious),

<br /> whereas,the contractor is in the business of collecting and disposing of biomedical (infectious)waste,and whereas,the contractor is
<br /> fully licensed to collect and transport said waste materials for hire, and disposal services and the contractor desires to provide such
<br /> services; now, therefore, in consideration of the mutual covenants contained herein and for other good and valuable consideration,
<br /> the parties, intending to be legally bound,agree as follows:
<br /> I. Covenants: The client agrees to request contractor to provide biomedical waste (infectious) transportation and disposal
<br /> services for all shipments of outbound waste. The contractor agrees to utilize best efforts to provide the said services when
<br /> requested by the client.
<br /> 11. Fees: For those services provided to the client by the contractor,the client shall agree to pay the contractor
<br /> $ 35.00 PER 30 GALLON REUSABLE, Jautoclave) and/or 5 GALLON PHARMACEUTICAL
<br /> CONTAINER(incineration) per pickup of medical waste, to be picked up on an
<br /> SEE ADDENDUM BASIS.Contractor will provide: 1.)30 gallon.reusable container 2). 1.5 mil. red bag liners.
<br /> One box minimum required verRjSkRpLstoD. Additional supplies are available upon request. Clients requesting additional
<br /> supplies will be billed accordingly.
<br /> M.Terms of Payment: All monthly invoices are due and payable 1/]0, net 30 with a 1.5%charge on all invoices paid after
<br /> 30 days.
<br /> IV Transportation: Medical Waste Services, LLC will be responsible for and pay for all transportation equipment,
<br /> maintenance and all related costs, drivers, and proper over-the road waste handling and transportation. Medical Waste Services,
<br /> LLC shall perform as an independent contractor, and is not and shall not hold itself as an-agent,servant,or employee of said client.
<br /> V Insurance: Medical Waste Services, LLC agrees to keep in force all insurance that is required to transport biomedical
<br /> waste(infectious).
<br /> VI.Notification: For purposes of providing notice regarding this agreement,the contractor shall be notified at:

<br /> X. Loading Shipments: All handling of biomedical waste(infectious) shipments will be carried out by MedWaste CA, LU
<br /> employees or agents thereof. Improper packaging by client will be rejected by contractor or representative thereof.
<br /> XI.Fines: MedWaste CA, LLC will be held responsible for any fines that might arise from the cargo being transported sue]
<br /> as: the packaging of the waste material, labeling of the boxes,manifesting,and disposal.
<br /> XU. Confidentiality: MedWaste. LLC, contractor, and client, shall treat as confidential and not disclose to others the tern
<br /> of this agreement, or any extension thereof, any information designated as confidential or proprietary concerning MedWaste, LU
<br /> contractor and said client's plans, programs,processes,or equipment without written permission from the client.
<br /> I. Indemnification: Contractor agrees to indemnify and hold harmless the client, its present and future officer;
<br /> directors, employees, agents, subcontractors and ftorn alid against any and all liabilities, damages, penalties. and cosi
