B. Integration with Existing Equipment <br /> 1. Ameresco shall provide a connection between the Plant and the existing flare system so <br /> that all LFG that Ameresco takes delivery of, but does not use in the Plant, can be <br /> redelivered to County and destroyed in accordance with Applicable Laws. <br /> 2. If, at any time during the Term of this Agreement, County replaces an open flare, County <br /> shall (a) cause the replacement flare to have a 10:1 turndown ratio and (b) make <br /> reasonable efforts to ensure that such replacement flare is compatible with the operation <br /> of the Plant and is integrated with the Plant control system. <br /> 3. Ameresco shall provide connections to and modifications of the existing flare station <br /> equipment such that the existing flare, blowers, and controls can be returned to service <br /> at a flow rate capacity equal to the flow rate capacity that existed prior to any <br /> modifications by Ameresco when the Plant permanently ceases operation. Restoration <br /> of the existing function shall be without the installation of pipe, wiring, or new control <br /> logic at the time the Plant permanently ceases operation, and shall be accomplished by <br /> opening or closing valves permanently installed in the system and by the use of hand <br /> tools. Modifications will be in accordance with Applicable Laws. <br /> C. Expansion and Alteration of LFG Collection System <br /> 1. Expansion of the LFG collection system may occur after all required permits have been <br /> obtained. Obtaining the required permits shall be the responsibility of the Party desiring the <br /> expansion. <br /> 2. Ameresco may improve or expand the LFG Collection System, subject to the approval of <br /> County, which may be withheld only if such expansion would cause County material <br /> operational or compliance difficulties or other material harm. Such improvements may <br /> include installing additional LFG Collectors as Ameresco deems desirable to meet <br /> Ameresco's needs for operation of the Plant. Mutual agreement shall apply to any item <br /> which may be required for regulatory compliance or collection of LFG. Ownership of all <br /> such improvements or expansions on the County side of the Transfer Point (which shall not <br /> include the Plant)shall pass to County upon installation, if and to the extent the cost of any <br /> improvement or expansion of the LFG Collection System installed by or on behalf of <br /> Ameresco cannot be recovered by Ameresco under Articles VII.A.1 or 6, then Ameresco <br /> may offset one-half the unrecovered cost thereof against any amounts Ameresco may owe <br /> County from time to time. <br /> 3. All major additions and repairs to the LFG Collection System and control system must be <br /> approved by County in its reasonable discretion. <br /> 4. Prior to either Party's expansion or alteration of the collection system,the Party proposing <br /> to expand or after the system shall consult and coordinate with the other Party, but in no <br /> event shall such consultation or coordination require the other Party to expend funds except <br /> as it may voluntarily choose to do so.
