Main Street <br />Stockton, CA 95202 <br />RE: Merger of Republic Services, Inc. and Allied Waste Industries, Inc. <br />Facilities: Forward Resource Recovery; Forward Landfill; Foothill Landfill <br />Dear Mr. McClellon: <br />This letter is to update you and provide information on the pending merger between <br />Republic Services, Inc. ("Republic") and Allied Waste Industries, Inc. ("Allied"). After the <br />merger is completed, Allied will be a wholly-owned subsidiary entity of Republic. <br />The merger is currently scheduled to close prior to the end of calendar year 2008, pending <br />necessary shareholder, governmental and other approvals. <br />The merger will not result in any change in the ownership or management, nor in any sale, <br />lease, mortgage, assignment or other transfer of our permit(s) or of any other assets, except as <br />may be required by governmental authorities for completion of the merger. After the merger is <br />approved, Republic and Allied facilities will continue to be held by Allied and Republic <br />subsidiaries as is currently the case and these entities will continue to comply with their <br />respective Solid Waste Facilities Permit requirements and other applicable permits. <br />As such there will be no change in the Owner or Operator of our facility resulting from the <br />merger. We are not aware of any provisions of our Solid Waste Facilities Permit or of state law <br />that would require that we process any change of ownership information for our facility. <br />However, if you are aware of any such requirement please direct our attention to it as soon as <br />possible so that we can take whatever action may be necessary to comply with our <br />responsibilities. <br />If you have any questions or would like any additional information concerning the <br />contemplated Allied -Republic merger, please do not hesitate to contact me. <br />Very truly yours, <br />Je D.
