9. Indemnification. Licensee shall indemnify, defend and save harmless the Owner, <br /> its officers, trustees, employees, agents, successors and assigns, frnm And against any and all <br /> damages, penalties, losses, claims, liability, demands, suits, actions, proceedings, costs and <br /> expenses (including reasonable attorneys' fees and experts' fees) of any nature whatsoever, <br /> including claims for actual or alleged personal injury, property damage or the death of any <br /> person(s), arising out of the entry onto the Premises by Licensee, Licensee's Authorized <br /> Personnel, agents, representatives, employees, contractors and consultant;,, or other persons <br /> invited by Licensee onto the Premises pursuant to this Access Agreement. Licensee's obligations <br /> set forth in this paragraph will survive the termination of this Access Agreement. Nothing <br /> contained herein shall be construed to require Licensee to defend or indemnify Owner with <br /> respect to any injury or alleged injury to or death of any person, or damage to property resulting <br /> from the negligence, groes negligence or intentional misconduct of Owner or its officers, <br /> trustees,employees, agents or consultants. <br /> 10. Insurance. Licensee's Authorized Personnel shall maintain in full force and effect <br /> comprehensive public liability and property damage insurance policies as are customary in the <br /> environmental consulting industry. <br /> 11. Permits and Approval. Licensee shall comply with and ubtaiii at its uwn uxpunsc: <br /> all the registrations, licenses or permits required by all federal, state and local laws, regulatory <br /> authorities or commissions in connection with the work of Authorized Personnel required under <br /> thio Aectss Agreement. <br /> 12. Termination. The Owner, with or without cause, may terminate this Access <br /> Agreement upon two (2) days prior written notice to the Licensee. This Access Agreement shall <br /> automatically terminate within sixty (60) days of the date of execution, unless extended by a <br /> separate written agreement of the parties hereto. <br /> 13. Notices.
