El Dorado Street Stockton, CA 95206 Ms. Wuest: This Letter of Agreement(LOA) is being issued to confirm your authorization for NES, Inc.(NES) to provide the following services: NES will prepare and present quarterly environmental training programs(AM and PM ses- sions) for California Tank Lines, Inc. (Cal Tank) employees. Quarterly training will cover the following topics: Confined Space Operations, SPCC & Spill Response, Hazardous Waste, Hazard Communication & GHS, and DOT. All instructor and participant materials (laptop, projector, course handouts, and certificates of completion) for these training pro- grams will be provided by NES; Cal Tank will be responsible for providing the training room and seating. Quarterly training will be provided on agreed upon dates in 2020. Our terms and conditions for this project are as follows: ➢ Services are to be initiated upon approval of this LOA.The Contract Terms and Conditions attached to this LOA are an integral part of our agreement (Attachment A). ➢ Services are priced on a fixed fee basis.NES does not account for labor hours and incidental expenses on fixed fee contracts unless requested prior to the start of services. In the event a detailed breakdown of labor hours and expenses is required, NES will provide services on a time & materials basis. The fixed price will be adjusted, and a revised cost estimate for services will be provided and will include charges for the additional accounting costs. NES is unable to provide services on a time & materials basis or to provide a detailed breakdown of charges on fixed fee services after work is started under this agreement. All NES services are progress-billed on a monthly basis, unless otherwise previously ar- ranged and agreed upon by both parties. ➢ Invoices are due on a net 30-day basis. A 1.5 percent per month finance charge will be assessed after 30 days past due on all outstanding invoices (18 percent annually). California Tank Liners,Inc. NES,Inc.
