MIHALOVICH <br /> ASSIGNMENT OF LIMITED INDEMNITY AGREEM <br /> THIS ASSIGNMENT OF LIMITED INDEMNITY AGREEMENT j <br /> ("Assignment") is made this : a day of 2002, by and between <br /> ROBERTS ENTERPRISES PTP, a California Partnership ("Assignor"), and ARNOLD <br /> BELLINI and DOREEN BELLINI, Trustees of the BELLINI FAMILY TRUST OF 2000 <br /> ("Assignees"). <br /> WITNESSETH : <br /> WHEREAS, on November 2, 1999, Assignor entered into a Limited Indemnity <br /> Agreement (the "Agreement") with Chevron Environmental Management Company <br /> ("Chevron") whereby with regard to the real property located at 35500 South Welty <br /> Road, Vernalis, California(the "Property") <br /> WHEREAS, Assignor has now sold its interest in the Property to Assignees and <br /> wishes to assign its interest in the Agreement to Assignees; <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and <br /> sufficiency of which are hereby acknowledged, the parties agree as follows: <br /> FIRST: Assignor hereby assigns, sells, transfers, sets over and delivers unto <br /> Assignees all of Assignor's estate, right, title, and interest in and to the Agreement, and <br /> Assignees hereby accept such assignment. <br /> SECOND: Assignor hereby covenants that Assignor will, at any time from time <br /> to time upon written request therefor, execute and deliver to Assignees, Assignees' <br /> successors, nominees or assigns, such documents as Assignees or they may reasonably <br /> request in order to fully assign and transfer to and vest in Assignees or Assignees' <br /> successors, nominees and assigns, and protect Assignees', or their right, title and interest <br /> in and to Assignor intended to be transferred and assigned hereby, or to enable Assignees, <br /> Assignees' successors, nominee:. and assigns to realize upon or otherwise enjoy such <br /> rights in and to the Agreement. <br /> THIRD: This Assignment may be executed simultaneously in counterparts, each <br /> of which shall be deemed an original, but all of which, together, shall constitute one and <br /> the same instrument. This Assignment shall be binding upon and inure to the benefit of <br /> the successors, assignees, personal representatives, heirs, and legatees of all the <br /> respective parties hereto.
